TEXTORITY TERMS OF SERVICE

Last Updated: September 30, 2026

These Terms apply to textority.com, text.me, text.to, lets.talk, the Textority web platform, and related websites and online services made available by Textority Inc.

IMPORTANT NOTICES - PLEASE READ

Binding arbitration and class action waiver. Section 29 contains an agreement to resolve most disputes through binding individual arbitration, a class action waiver, and a jury trial waiver. You may opt out of the arbitration agreement within 30 days after first accepting these Terms as described in Section 29.8. Certain claims and rights are excluded from arbitration where applicable law requires.

Age requirements. Creators, Channel owners, sellers, payout recipients, and administrative team members must be at least 18 years old, or the age of majority where they reside if higher. End Users must be at least 13 years old. End Users under 18 may use the Services only with the authorization and supervision of a parent or legal guardian, subject to Section 4.

Creator Offerings. Creators are responsible for the content, description, legality, quality, delivery, performance, support, and professional conduct associated with their Creator Offerings. Textority provides the technology and may provide or administer commerce features, but Textority does not endorse or guarantee any Creator or Creator Offering.

Payment and seller roles. The identity of the contracting seller, merchant of record, payment recipient, payment provider, and supplier for a paid Creator Offering must be determined from the applicable checkout, order confirmation, receipt, Payment Terms, and other transaction-specific disclosures. These Terms do not by themselves designate Textority as merchant of record or contracting seller for every Creator Offering transaction.

Automatically renewing subscriptions. A Textority plan or Creator Offering may renew automatically only where the recurring terms are disclosed before enrollment and you authorize the recurring charges. Subscriptions continue until cancelled or otherwise ended according to the applicable terms. See Section 10 and the applicable Subscription and Auto-Renewal Terms.

Artificial intelligence. Some Services may include artificial intelligence or automated features. AI output can be inaccurate, incomplete, or inappropriate and must not be treated as professional advice or an emergency service. See Section 14.

Professional and regulated services. Textority is not a law firm, medical provider, mental health provider, financial institution, investment adviser, insurer, accounting firm, or emergency service. Certain professional, regulated, or higher-risk activities may be prohibited or restricted. See Section 13 and the Prohibited Products and Services Policy.

1. AGREEMENT AND ACCEPTANCE

1.1 Parties. These Terms of Service (the “Terms”) form a binding agreement between you and Textority Inc., a Delaware corporation (“Textority,” “we,” “us,” or “our”). “You” means the individual accepting these Terms or, where an individual accepts on behalf of an entity, that entity.

1.2 Acceptance. You accept these Terms when you take an affirmative action that we present as acceptance, including creating an account, activating a username, purchasing a Textority plan, completing a Creator Offering checkout, enabling Creator features, accepting a team invitation that requires agreement to these Terms, or clicking or tapping an acceptance control. Passive browsing alone does not create acceptance of account, payment, recurring-charge, Creator, or arbitration terms.

1.3 Entity acceptance. If you accept for a company or other organization, you represent that you have authority to bind that entity. The entity is the contracting party for its commercial obligations. You remain personally responsible for your own credentials, security, access, fraud, intentional misconduct, unlawful conduct, infringement, and other obligations that expressly apply to your individual conduct. You do not become personally responsible for the entity’s ordinary business obligations solely because you accepted for the entity.

1.4 Role-specific terms. Different provisions may apply depending on whether you are a Creator, End User, buyer, parent or guardian, team member, or business user. Additional Terms may apply to specific features, transactions, roles, or countries as described in Section 30.

1.5 Records of acceptance. We may retain records reasonably necessary to evidence acceptance, including the version accepted, the acceptance action, the associated account, and the date and time.

1.6 If you do not agree. If you do not agree to these Terms, do not create an account or use Services that require acceptance of these Terms.

2. THE SERVICES AND TEXTORITY DOMAINS

2.1 Services. “Services” means the Textority web platform and the websites, software, features, tools, content, communications, commerce functionality, automation, artificial intelligence features, and support that Textority makes available online, including through textority.com, text.me, text.to, lets.talk, and their supported subdomains and paths.

2.2 Web services. These Terms govern the web Services. If Textority later distributes a separate application or service under separate terms, those separate terms apply to that application or service.

2.3 Domains and namespaces. Textority operates Services through the Textority domain ecosystem. No User acquires ownership of a Textority domain, subdomain, URL path, namespace, or underlying Textority intellectual property by using the Services or by receiving a username, handle, or personalized URL.

2.4 Privacy. Our Privacy Policy and other privacy notices describe how Textority collects, uses, discloses, and otherwise processes personal information. Those notices do not reduce any right or obligation expressly stated in these Terms or required by applicable law.

2.5 Prior terms. These Terms supersede prior general Textority terms of service for the Services to the extent those prior terms address the same subject matter. A prior transaction remains subject to transaction-specific terms that were validly accepted for that transaction unless applicable law requires otherwise.

3. DEFINITIONS

“Additional Terms” means terms, policies, notices, order terms, or other agreements that apply to a particular role, feature, transaction, or jurisdiction and are made available and identified as applicable to you.

“Channel” means a Creator’s Textority space, which may include a public page, conversations, content, groups, communities, automations, a catalog, and commerce features that Textority makes available.

“Creator” means a User that operates a Channel or makes a Creator Offering available through the Services, including a creator, professional, educator, coach, consultant, business, brand, agency, or institution.

“Creator Content” means Digital Content and other materials a Creator makes available through the Services.

“Creator Offering” means Digital Content, Creator Services, access, memberships, subscriptions, courses, bookings, or another offering that a Creator makes available through the Services, whether free or paid.

“Creator Policies” means product-specific terms a Creator provides for a Creator Offering, such as delivery, access, refund, cancellation, rescheduling, or license terms, to the extent those terms are presented through the Services and are not inconsistent with higher-priority Textority terms or applicable law.

“Creator Services” means services performed by a Creator, including consultations, sessions, coaching, classes, webinars, personalized responses, or other services permitted through the Services.

“Digital Content” means electronically delivered content or materials, including text, images, audio, video, files, courses, lessons, templates, downloads, recordings, digital guides, membership content, and similar digital resources. Digital Content does not include physical goods.

“End User” means a person who interacts with a Channel, including a visitor, follower, member, subscriber, student, client, or buyer.

“Teen User” means an End User who is at least 13 years old and under 18 years old.

“Textority AI” means artificial intelligence and machine-assisted features that Textority may make available, including drafting, summarization, search, classification, recommendation, automation, or assistant functionality.

“Transaction Terms” means the checkout, order, confirmation, receipt, and other transaction-specific terms and disclosures that apply to a purchase or paid enrollment.

“User” means any person or entity that accesses or uses the Services, including Creators, End Users, guardians, and team members.

“User Content” means content, data, files, messages, prompts, configurations, instructions, or other material submitted, uploaded, transmitted, generated, or made available through the Services by or on behalf of a User. Creator Content is a subset of User Content.

4. ELIGIBILITY, AGE, AND GUARDIAN AUTHORIZATION

4.1 Adult-only roles. You must be at least 18 years old, or the age of majority where you reside if higher, to own or control a Channel, sell a Creator Offering, receive payouts, or hold an administrative, payment, payout, export, moderation, or AI-configuration role for a Channel.

4.2 End Users. End Users must be at least 13 years old. Children under 13 may not create an account or use interactive Services intended for account holders. If Textority obtains actual knowledge that an account is held by a child under 13, Textority may restrict or terminate the account and will handle associated personal information as required by applicable law.

4.3 Teen Users. A Teen User may use the Services only with the authorization and supervision of a parent or legal guardian. The guardian must review and accept the terms presented for the Teen User’s use and is responsible for authorizing purchases or recurring enrollments connected to the Teen User, to the extent applicable law permits. Textority may require reasonable evidence of age, identity, guardianship, or authorization and may restrict access while that information is being reviewed.

4.4 Restricted features for minors. Teen Users may not operate Channels, sell Creator Offerings, receive payouts, or hold the adult-only roles listed in Section 4.1. Textority may restrict Teen Users from particular Channels, content, Creator Offerings, communications, or features based on safety, legal, product, or category requirements.

4.5 No targeting children under 13. A Creator must not knowingly direct an interactive Channel or Creator Offering to children under 13, encourage a child under 13 to create an account, instruct a person to provide a false age, or knowingly continue an interactive relationship after learning that the User is under 13.

4.6 Parental controls. Commercially available parental-control protections, including filtering and monitoring tools, may help parents and guardians limit minors’ access to material that may be harmful to them.

4.7 Capacity and prior enforcement. You must have legal capacity to enter into these Terms and must not be prohibited from receiving the Services under applicable law or an enforceable prior Textority restriction.

4.8 Sanctions and export controls. You may not use the Services if doing so would cause Textority or a service provider to violate applicable sanctions, export-control, or trade laws. You may not use the Services for prohibited transactions or to provide Services to a person or territory when applicable law prohibits that activity.

5. ACCOUNTS, SECURITY, TEAMS, AND VERIFICATION

5.1 Accurate information. You must provide accurate, current, and complete information when required for your account, Channel, transaction, payment, payout, tax, professional, or verification status, and you must update material changes.

5.2 Account security. You are responsible for safeguarding your credentials and for activity conducted through your account by persons you authorize. You must not sell, rent, or share personal login credentials in a manner that defeats account security or permissions. Notify Textority promptly if you reasonably believe your account has been compromised.

5.3 Team members. A Creator may authorize team members within permissions made available by the Services. The Creator is responsible for provisioning and revoking authorized access and for the acts and omissions of authorized team members acting within their assigned roles or using access that the Creator provided, authorized, or failed to revoke when reasonably required. A team member does not become the Creator, seller, Channel owner, or payout recipient merely because the team member receives administrative access.

5.4 Verification. Textority or its service providers may require identity, business, beneficial-ownership, bank, tax, sanctions, professional-license, age, guardianship, or other verification when reasonably necessary for a feature, category, payment, payout, safety review, legal obligation, or risk review. Verification confirms only what the specific check covers and is not an endorsement or guarantee.

5.5 Suspension pending verification. Textority may delay, limit, or suspend access to a feature, transaction, or payout while required verification is incomplete or under review, subject to applicable law.

6. USERNAMES, HANDLES, CHANNELS, AND TEXTORITY URLS

6.1 Limited license. A username, handle, Channel address, or personalized Textority URL is a limited, revocable, non-exclusive, non-transferable permission to use an identifier within the Textority ecosystem. It is not property and does not give you ownership of any domain, URL, namespace, trademark, or permanent right to the identifier.

6.2 Reservations and activation. A reserved or requested identifier is subject to eligibility, activation, these Terms, and any reservation terms presented when the reservation is made. Reservation does not guarantee permanent availability or ownership.

6.3 Naming rules. You may not use an identifier that infringes rights, impersonates or misleadingly suggests affiliation with another person or organization, facilitates fraud or abuse, is illegal, is reserved by Textority for platform integrity, or otherwise violates these Terms.

6.4 Rejection, suspension, reclamation, and reassignment. Textority may reject, reserve, suspend, remove, reclaim, or reassign an identifier where reasonably necessary for legal compliance, infringement or trademark disputes, impersonation, fraud, abuse, security, misleading identity, platform integrity, account termination, unpaid fees after appropriate notice, changes to domain or namespace architecture, or inactivity under an inactivity rule that Textority has disclosed for the applicable identifier. Textority will not exercise these rights solely to confiscate a lawfully used identifier without a legitimate legal or operational reason.

6.5 No trafficking. You may not sell, auction, rent, license, or transfer a Textority identifier or register identifiers primarily to block another person from using them or to profit from resale, except through a transfer process Textority expressly permits.

6.6 No trademark grant. Use of a username does not grant trademark rights or determine ownership of a mark under applicable law.

7. TEXTORITY, CREATORS, AND CREATOR OFFERINGS

7.1 Platform role. Textority provides the technology through which Users may communicate, publish content, operate Channels, use supported AI or automation features, and make or obtain Creator Offerings. Except where Textority expressly identifies itself as the substantive provider of a particular offering, Textority does not create, perform, or professionally provide a Creator Offering supplied by a Creator.

7.2 Creator responsibility. A Creator is responsible for its Creator Content and Creator Offerings, including their accuracy, legality, description, claims, licensing, quality, delivery, performance, support, accessibility commitments the Creator makes, professional conduct, and compliance with law. If a Creator must hold a license, registration, permit, insurance, or other authorization, the Creator is responsible for maintaining it.

7.3 No endorsement. A listing, profile, verification check, badge, search result, recommendation feature, or availability through the Services does not by itself mean that Textority endorses, certifies, supervises, guarantees, or recommends a Creator or Creator Offering.

7.4 Limited verification. If Textority verifies an identity, credential, license, or other fact, the verification is limited to the specific check performed at the time. It is not a guarantee of competence, quality, continuing status, fitness, or legal compliance in every jurisdiction.

7.5 User-to-user relationships. Users may form relationships with each other through the Services. Textority is not a party to a professional, fiduciary, employment, agency, partnership, joint venture, or other substantive relationship between Users merely because the Services facilitated contact, content, scheduling, or payment functionality.

8. CREATOR OFFERINGS, CHECKOUT, AND BUYER TERMS

8.1 Permitted formats. At launch, Creator Offerings supported through Textority are limited to Digital Content, access, memberships, subscriptions, courses, bookings, and Creator Services that Textority permits. Physical goods and shipping transactions are not supported unless Textority later expressly enables them under updated terms.

8.2 Prohibited and restricted categories. Creator Offerings must comply with the Prohibited Products and Services Policy and any category-specific rules presented by Textority. Textority may decline to support a category even if that category is lawful in a particular jurisdiction when payment-provider, safety, operational, or risk requirements do not support it.

8.3 Required offering information. Creators must provide accurate and complete material information reasonably required to describe a Creator Offering, including what is included, price where applicable, delivery or performance terms, access duration where applicable, material limitations, recurring terms, cancellation terms, and Creator Policies that apply.

8.4 Transaction role disclosure. Before a paid Creator Offering transaction is completed, the applicable Transaction Terms should identify the parties and roles material to that transaction, including the Creator supplying the offering and, where applicable, the contracting seller, merchant of record, payment recipient, or payment provider. These Terms do not assign a single merchant-of-record or contracting-seller status to every Creator Offering transaction. The fact that Textority provides checkout, payment technology, transaction records, or a statement descriptor does not by itself determine a statutory, network, tax, or contractual classification.

8.5 Creator Policies. Creator Policies become part of a purchase only to the extent they are presented or incorporated before purchase. A Creator may not retroactively reduce rights, shorten purchased access, remove promised components, or change material purchase terms after the transaction. Creator Policies may not waive mandatory consumer rights or contradict higher-priority Textority terms.

8.6 Version presented. The material transaction information and terms presented at checkout govern the transaction, subject to applicable law and higher-priority terms. Textority may retain records reasonably necessary to document what was presented and accepted.

8.7 Buyer responsibility. Before purchasing, a buyer should review the offering description, Creator identity, price and currency, recurring terms, refund and cancellation terms, delivery and access terms, and other material Transaction Terms.

8.8 Professional relationships. A professional relationship may arise directly between an appropriately licensed Creator and an End User if applicable law and the Creator’s profession recognize such a relationship. Textority is not a party to that professional relationship unless expressly stated.

9. PAYMENTS, PAYMENT PROVIDERS, PAYOUTS, FEES, AND TAXES

9.1 Payment providers. Textority may use third-party payment providers to support payment methods, payment processing, fraud screening, identity or business verification, refunds, disputes, and payouts. A payment provider’s terms may apply directly to a User where those terms are separately presented or accepted.

9.2 Transaction structure. Payment flows may differ by country, payment method, Creator, transaction type, and provider configuration. The applicable Payment Terms and Transaction Terms govern whether Textority receives, administers, facilitates, or processes a payment and how funds move among the parties. Textority does not represent in these Terms that it is a bank, escrow provider, money transmitter, payment facilitator, merchant of record, or contracting seller for every transaction.

9.3 Authorization. By providing or confirming a payment method, you represent that you are authorized to use it and authorize the charge that is clearly disclosed to you, including applicable taxes and recurring charges that you separately authorize. No unlimited payment authorization is created.

9.4 Fees. Textority may charge plan fees, platform fees, transaction-related fees, or other charges only as disclosed before they apply. Creator-specific fees and deductions are governed by the Creator Terms, Payment Terms, Creator Payout Terms, applicable pricing information, and other terms presented to the Creator.

9.5 Payouts. Creator payout eligibility may depend on identity and business verification, supported country and currency, provider approval, tax documentation, settlement status, reserves, holds, refunds, reversals, disputes, chargebacks, minimum thresholds, and other conditions described in the Creator Payout Terms. A displayed balance is not necessarily immediately payable.

9.6 Refunds and payment disputes. Refund, reversal, chargeback, and payment-dispute handling is governed by the applicable Transaction Terms, Payment Terms, Refund and Cancellation Policy, Chargeback and Payment Dispute Policy, payment-provider rules, card or payment-network rules, and applicable law.

9.7 Taxes. Each User is responsible for taxes imposed directly on that User or its business. Textority or a payment provider may calculate, collect, report, remit, or withhold taxes when required by law or by the applicable transaction structure. Nothing in these Terms is tax advice.

9.8 No financial relationship. Except to the extent expressly required by applicable law for a specific payment arrangement, the Services do not create a deposit account, stored-value account, trust, escrow, fiduciary relationship, or banking relationship between Textority and a User.

10. SUBSCRIPTIONS, TRIALS, AUTOMATIC RENEWAL, AND CANCELLATION

10.1 Recurring terms. Before you authorize a recurring charge, the applicable enrollment flow must disclose the material recurring terms, including the recurring amount or method for determining it, billing frequency, renewal timing or method for determining it, material trial or promotional terms, and how to cancel.

10.2 Express authorization. Textority will not treat silence, inactivity, or a preselected choice as authorization for a recurring charge where affirmative consent is required. You authorize recurring charges only through the acceptance or payment flow presented for the subscription.

10.3 Renewal. A subscription renews automatically only where automatic renewal is disclosed and authorized, and it continues until cancelled or otherwise ended according to the applicable terms.

10.4 Trials and promotions. A free or discounted trial converts to a paid subscription only where that conversion, timing, and resulting charge are clearly disclosed before enrollment and authorized by the payer.

10.5 Cancellation. A User must have a reasonably accessible method to stop future recurring charges, subject to the applicable subscription terms and mandatory law. Cancellation stops future charges according to its effective date and does not automatically create a refund for a prior charge.

10.6 Changes and notices. Textority will provide any renewal reminder, price-change notice, reauthorization, or other subscription notice required by applicable law or expressly promised in the applicable Subscription and Auto-Renewal Terms.

10.7 Additional subscription terms. Detailed mechanics for Textority plans and recurring Creator Offerings are governed by the applicable Subscription and Auto-Renewal Terms and Transaction Terms.

10.8 Textority Paid Services. Textority Inc. may offer its own digital products, subscription plans, and other paid online services. Payments may be collected through the Textority platform or direct payment links using third-party payment providers. Pricing, billing frequency, renewal terms, cancellation options, and applicable refund conditions will be disclosed before purchase. Recurring subscriptions will continue until cancelled in accordance with the terms presented at checkout and applicable law.

11. DELIVERY, ACCESS, REFUNDS, CANCELLATIONS, AND DISPUTES

11.1 Delivery and access. Delivery method, timing, access period, expiration, and material technical requirements for Digital Content must be disclosed where material to the purchase. Creator Services must be performed according to the material scheduling and performance terms disclosed for the offering.

11.2 Creator responsibility. Creators are responsible for supplying, performing, and supporting their Creator Offerings. Textority may provide technical delivery, access, transaction, or support tooling, but that does not transfer a Creator’s supply obligations to Textority except where Textority expressly assumes a specific obligation.

11.3 Refund and cancellation rules. Refund eligibility and cancellation rights depend on the applicable Refund and Cancellation Policy, Creator Policies, Transaction Terms, mandatory consumer law, and any provider or payment-network rule that applies. A cancellation is not automatically a refund.

11.4 Non-delivery or material misdescription. A buyer may report non-delivery, inaccessible content, material misdescription, duplicate charges, unauthorized charges, or other transaction problems through the support or dispute routes Textority makes available. Textority may take action that it is required or authorized to take under applicable law, provider rules, Transaction Terms, or applicable Textority policies.

11.5 Payment disputes. A User’s use of a Textority support or refund process does not waive any external payment right that cannot lawfully be waived. Chargebacks and other payment disputes are governed by the applicable payment method, financial institution, provider, network rules, and the Chargeback and Payment Dispute Policy.

11.6 Mandatory rights. Nothing in these Terms or Creator Policies waives a non-waivable consumer right, statutory warranty, reversal right, or other mandatory remedy.

12. CREATOR RESPONSIBILITIES

12.1 Creator compliance. A Creator must comply with applicable law, these Terms, the Creator Terms, and applicable Additional Terms in operating a Channel and making Creator Offerings available.

12.2 Content and offering rights. A Creator must own or have all rights, permissions, licenses, and consents needed to upload, display, communicate, advertise, sell, sublicense, perform, and deliver Creator Content and Creator Offerings through the Services.

12.3 Truthful claims. Creator listings, advertising, testimonials, credentials, professional claims, earnings claims, health claims, financial claims, and other material representations must be truthful, non-misleading, and adequately substantiated where law requires substantiation.

12.4 Fulfillment and support. The Creator must honor material commitments made for a Creator Offering, provide reasonable buyer support, and cooperate with Textority in addressing delivery, refund, safety, legal, fraud, and payment-dispute issues relating to the Creator’s Offering.

12.5 Records. Creators must maintain records reasonably necessary to support their legal obligations and material transaction representations, including records of licenses or professional authorizations where relevant. Textority may request reasonable evidence in connection with compliance, a complaint, payment dispute, or legal obligation.

12.6 Privacy and communications. A Creator must comply with applicable privacy, data-protection, marketing, messaging, and communications laws in connection with information the Creator receives or uses through the Services. Access to User information does not authorize unrelated use, resale, or disclosure.

12.7 Circumvention. A Creator may conduct lawful business outside Textority. However, a Creator may not use the Services to route a transaction or payment off-platform primarily to evade a fee or payment restriction that was clearly disclosed as applicable to that transaction or feature.

13. PROFESSIONAL, REGULATED, AND HIGHER-RISK SERVICES

13.1 Textority is not the professional. Textority is not a law firm, health-care provider, mental-health provider, financial institution, investment adviser, broker-dealer, insurer, accounting firm, emergency service, or other licensed professional merely because a Creator uses the Services to communicate or offer permitted services.

13.2 Category restrictions. Textority may prohibit or restrict professional, regulated, or higher-risk categories based on applicable law, licensing requirements, safety, payment-provider requirements, insurance, operational readiness, or risk. The Prohibited Products and Services Policy controls category classifications within its subject matter.

13.3 Creator qualifications. A Creator offering a permitted professional service is solely responsible for determining and maintaining the licenses, registrations, supervision, disclosures, client agreements, professional standards, conflicts procedures, recordkeeping, insurance, and jurisdictional authority required for that service.

13.4 No emergency use. The Services and Textority AI are not emergency services. A User should contact an appropriate emergency service or qualified professional when immediate safety, medical, legal, or financial intervention is required.

13.5 No reliance on platform status. Verification or availability on Textority is not a substitute for a User’s own evaluation of a Creator’s qualifications, suitability, or advice.

14. TEXTORITY AI AND AUTOMATION

14.1 Availability. Textority may offer AI-assisted and automated features. Availability, models, capabilities, limits, and integrations may change, and a feature is not available unless Textority actually enables it for the applicable User or Channel.

14.2 Limitations. AI and automated output may be inaccurate, incomplete, outdated, biased, offensive, or otherwise unsuitable. You are responsible for reviewing output before relying on, publishing, sending, or acting on it.

14.3 No professional advice. Textority AI does not provide legal, medical, mental-health, financial, tax, accounting, or other professional advice on behalf of Textority. A Creator may not use AI or automation to circumvent a category restriction or professional obligation.

14.4 Creator configurations. A Creator that configures prompts, knowledge sources, automations, actions, or response rules is responsible for those configurations and for ensuring that their use complies with law and these Terms. Textority remains responsible for its own obligations and does not transfer them to Creators.

14.5 Disclosure. Where the Services identify an interaction or output as AI-assisted or automated, Users must not intentionally remove or falsify that disclosure in a manner that would mislead another person or violate applicable law.

14.6 Sensitive actions. Textority may restrict AI or automated actions involving payments, account ownership, identity, safety, professional services, access control, or other sensitive functions. A User must not bypass those restrictions.

14.7 Data practices. Personal information and User Content processed in connection with Textority AI are handled as described in the applicable Privacy Policy, AI notices, and Additional Terms. These Terms do not make any representation that User Content is used or not used for model training unless an applicable Textority notice or agreement expressly states that commitment.

15. MESSAGING, AUTOMATION, AND COMMUNICATIONS

15.1 Compliance. Users who send or cause messages, emails, automated communications, or marketing communications through the Services are responsible for obtaining any consent required by law, honoring opt-outs, using accurate sender information, and complying with applicable anti-spam, telemarketing, privacy, and consumer-protection rules.

15.2 Prohibited messaging practices. You may not use the Services to send unlawful spam, deceptive or fraudulent communications, malicious content, communications to unlawfully obtained or scraped contact lists, or messages that conceal or falsify the sender’s identity in violation of law.

15.3 Third-party communication services. If a communication is transmitted through a third-party provider or network, that provider’s rules and technical limits may also apply.

15.4 No guaranteed delivery. Textority does not guarantee delivery, receipt, timing, placement, or response for a communication because delivery may depend on third-party networks, recipient settings, filtering, and other factors outside Textority’s control.

15.5 SMS Authentication Program. Textority Inc. may offer SMS-based authentication to help Users securely access their accounts. When a User voluntarily provides a mobile phone number and explicitly requests a verification code through the Services, Textority may send a one-time passcode (OTP) to that number. This SMS program is limited to User-requested authentication messages and is not used for marketing, advertising, promotional campaigns, or communications sent on behalf of Creators or other third parties. Consent to receive verification messages is obtained through the applicable authentication process and is not established solely by accepting these Terms.

15.6 Message Frequency and Charges. SMS verification messages are sent in response to User-initiated requests. Message frequency varies depending on the number of authentication attempts and code resend requests. Message and data rates may apply according to the recipient’s mobile carrier and service plan. Textority does not control or determine charges imposed by mobile carriers.

15.7 Opt-Out and Support. Users may stop receiving SMS verification messages from the Textority toll-free number by replying STOP to that number. For U.S. toll-free messaging, mobile carriers manage these opt-out restrictions. To resume receiving messages after opting out, Users must text UNSTOP or START to the same number. Requesting another verification code through the Services does not automatically remove a carrier-level block. Users may reply HELP for assistance or contact Textority at hello@textority.com.

15.8 Delivery, Carrier Responsibility, and Privacy. SMS delivery depends on mobile carriers, telecommunications networks, device availability, and other factors beyond Textority’s control. Carriers are not liable for delayed or undelivered messages. Textority does not guarantee that verification messages will always arrive or arrive within a particular time. Personal information associated with SMS authentication is processed as described in the Textority Privacy Policy, available at https://legal.textority.com/legal/privacy.

16. ACCEPTABLE USE AND PROHIBITED ACTIVITY

You may not use the Services to do, facilitate, request, fund, promote, or materially assist any of the following:

violate applicable law, sanctions, court orders, or legally binding restrictions;

exploit, sexually abuse, groom, traffic, or endanger a minor, or create, possess, solicit, distribute, or facilitate child sexual abuse material;

create, distribute, threaten to distribute, solicit, or facilitate non-consensual intimate imagery, including unlawful digital forgeries or deepfakes;

engage in fraud, scams, phishing, identity theft, deceptive impersonation, transaction laundering, or payment abuse;

threaten, stalk, harass, extort, dox, or unlawfully discriminate against another person;

infringe, misappropriate, counterfeit, or violate intellectual-property, publicity, privacy, confidentiality, or other rights;

upload malware, malicious code, or content designed to compromise devices, accounts, networks, or data;

access an account, system, or data without authorization, evade security or rate limits, interfere with the Services, or probe or test vulnerabilities without written authorization;

scrape, harvest, or extract data in violation of law, access controls, robots instructions, or these Terms;

reverse engineer or attempt to derive source code except to the limited extent a restriction is prohibited by applicable law;

conceal prohibited activity through misleading listings, links, payment descriptions, or delivery methods;

use the Services for a product, service, transaction, or category prohibited by the Prohibited Products and Services Policy; or

assist another person in violating these Terms.

Textority may maintain more detailed Acceptable Use, Community, Safety, and Prohibited Products and Services rules. Where those rules apply to a specific subject, they supplement this Section.

17. USER CONTENT, CREATOR CONTENT, AND LICENSES

17.1 Your ownership. As between you and Textority, you retain ownership of your User Content, subject to the rights of third parties and the licenses you grant under these Terms. Textority does not take ownership of Creator Content merely because it is uploaded, hosted, transmitted, processed, or delivered through the Services.

17.2 Operating license to Textority. You grant Textority a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, format, adapt for technical purposes, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, support, improve, and enforce the Services; fulfill transactions and purchased access; comply with your instructions; prevent fraud or abuse; comply with law; and exercise rights or perform obligations under these Terms. Textority may sublicense these rights to service providers only to the extent reasonably necessary for those purposes.

17.3 Creator Offering delivery. If you are a Creator, you also authorize Textority to make Creator Content available to End Users to the extent necessary to deliver or provide access to the applicable Creator Offering and to honor purchased access, subject to the applicable license and Transaction Terms.

17.4 Public Content. Content that you intentionally make public may be visible to the public and may be indexed, linked, shared, or cached according to the nature of the Services and applicable settings. Do not make content public if you do not have the rights or authority to do so.

17.5 Feedback. If you voluntarily provide product feedback or suggestions, Textority may use them without restriction or compensation, but this does not give Textority ownership of unrelated User Content or your underlying intellectual property.

17.6 Duration. The licenses in this Section continue only as long as reasonably necessary for the purposes stated, except that rights may continue for purchased access, backups, fraud prevention, legal compliance, dispute records, safety preservation, and other lawful retention obligations.

18. TEXTORITY INTELLECTUAL PROPERTY

18.1 Textority property. The Services, Textority software, user interfaces, designs, branding, logos, and other materials provided by Textority are owned by or licensed to Textority and are protected by applicable intellectual-property laws.

18.2 Limited service license. Subject to these Terms, Textority grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not permit resale, sublicensing, copying of software, or creation of derivative services except as Textority expressly permits or applicable law requires.

18.3 Marks and domains. These Terms do not grant you ownership of or a license to use Textority names, logos, domains, or marks except as necessary to truthfully identify your use of the Services or as separately authorized in writing.

19. PRIVACY AND SECURITY

19.1 Privacy notices. Textority’s Privacy Policy and applicable privacy notices describe the personal information Textority collects and processes, the purposes for processing, disclosures, retention practices, available rights, and contact methods. Where law requires a separate consent or authorization, acceptance of these Terms alone does not substitute for that separate consent.

19.2 User responsibilities. A Creator or business User that independently determines how to use personal information obtained through the Services is responsible for its own privacy and data-protection obligations, including notices, consents, legal bases, security, data-subject rights, and restrictions on use or sharing, to the extent applicable.

19.3 Security. Textority uses safeguards that it considers reasonable and appropriate for the Services and information at issue, but no online service can guarantee absolute security, confidentiality, availability, or freedom from unauthorized access. You must use available account-security features responsibly and promptly report suspected unauthorized access.

19.4 No unsupported security promises. These Terms do not represent that communications are end-to-end encrypted, that Textority can never access User Content, that deletion is instantaneous or irreversible, or that the Services are perfectly secure or continuously available.

19.5 Legal requests and emergencies. Textority may preserve, access, use, or disclose information where permitted or required by applicable law, including in response to valid legal process, preservation requests, or an emergency involving a good-faith belief of imminent danger, subject to applicable legal standards.

20. REPORTING, MODERATION, SAFETY, AND ENFORCEMENT

20.1 Reports. Users and other affected persons may submit reports through the reporting or support routes Textority makes available. Textority may request information reasonably necessary to investigate or act on a report.

20.2 Enforcement. Textority may remove or restrict content, disable features, block transactions, restrict communications, suspend or terminate accounts or Channels, preserve evidence, or take other proportionate action when Textority reasonably believes it is necessary to enforce these Terms, protect Users or the Services, comply with law, respond to provider requirements, or address fraud, abuse, security, or safety risk.

20.3 No general monitoring promise. Textority is not required by these Terms to monitor every communication or item of User Content and does not represent that it continuously reviews private communications. Textority may use human review, automated systems, reports, metadata, or other lawful methods to identify and address violations.

20.4 Child sexual exploitation. Child sexual abuse material and sexual exploitation of minors are prohibited. When applicable law requires a report to the National Center for Missing & Exploited Children’s CyberTipline or another authority, Textority will make the required report and preserve covered material for the period required by law. Nothing in this Section authorizes a User to possess, download, redistribute, or investigate illegal material.

20.5 Non-consensual intimate imagery. Non-consensual intimate imagery, including covered digital forgeries, is prohibited. Where Textority is a covered platform under the TAKE IT DOWN Act or another applicable law, Textority will maintain the legally required notice-and-removal process and will act on a valid request within the time required by that law, including removal of known identical copies where required.

20.6 Cooperation with authorities. Textority may respond to valid law-enforcement, court, regulatory, emergency, and preservation requests as permitted or required by law. Textority may challenge, narrow, or reject requests that it reasonably believes are invalid or overbroad where law permits.

20.7 Appeals. If Textority offers an appeal or review process for a particular enforcement action, that process does not limit any non-waivable legal right. Textority may decline repetitive, abusive, fraudulent, or procedurally ineligible appeals.

21.1 Copyright compliance. You may not upload, sell, deliver, or otherwise use content through the Services unless you have the necessary rights. Textority may remove or restrict allegedly infringing material and may terminate repeat infringers in appropriate circumstances.

21.2 DMCA. Textority may maintain a DMCA Policy and designated-agent information in its Legal Center. Copyright notices and counter-notices must satisfy applicable legal requirements. Nothing in these Terms expands or limits rights or obligations established by 17 U.S.C. § 512.

21.3 Trademark and counterfeit complaints. Textority may investigate reports of trademark infringement, counterfeiting, passing off, misleading affiliation, or misuse of protected branding and may request information sufficient to evaluate the report.

21.4 Impersonation and publicity rights. You may not impersonate another person or entity in a deceptive or unlawful manner or use another person’s name, image, likeness, voice, or other protected indicia without required rights or authorization.

21.5 No ownership adjudication. Textority’s moderation or identifier decision does not finally adjudicate ownership of intellectual property or other rights between private parties. Those rights may need to be resolved by the parties, a court, an arbitrator, or another competent authority.

22.1 Third-party services. The Services may integrate with or link to third-party services. Third-party terms and privacy practices govern those services, and Textority is not responsible for a third party’s independent products, content, security, availability, or decisions.

22.2 No endorsement. A link, integration, payment method, model provider, or technical connection does not imply endorsement or a partnership unless Textority expressly states otherwise.

22.3 Third-party changes. A third party may change or discontinue its service, which may affect a Textority feature. Textority does not guarantee continued availability of a third-party integration.

23. BETA, PREVIEW, AND EXPERIMENTAL FEATURES

Textority may offer beta, preview, early-access, or experimental features. Unless separate terms state otherwise, those features may be incomplete, may change or be withdrawn, may have additional limits, and are provided without a commitment that they will become generally available. Do not rely on a beta feature for a critical function unless Textority expressly agrees otherwise in writing.

24. AVAILABILITY, SUPPORT, AND CHANGES TO THE SERVICES

24.1 Availability. Textority does not guarantee uninterrupted or error-free availability. Maintenance, outages, security events, provider failures, legal restrictions, or other events may temporarily limit the Services.

24.2 Changes. Textority may add, change, limit, or discontinue features. Textority will not use this Section to avoid a specific obligation for a completed transaction or purchased access that applicable law or binding Transaction Terms require Textority to honor.

24.3 Support. Support channels, scope, and response times are those Textority actually makes available. No service-level commitment exists unless Textority agrees to one in a signed agreement or applicable Additional Terms.

25. SUSPENSION AND TERMINATION

25.1 By you. You may stop using the Services and may close your account through the method Textority makes available, subject to outstanding transactions, subscriptions, disputes, payouts, legal obligations, and retention requirements.

25.2 By Textority for cause. Textority may suspend, restrict, or terminate access where reasonably necessary because of a material breach of these Terms, unlawful conduct, fraud, abuse, safety risk, security risk, sanctions, nonpayment, provider requirements, repeated infringement, false verification information, or another material risk to Users or the Services.

25.3 By Textority without cause. Textority may discontinue a free Service or end an ongoing account relationship for legitimate business reasons on reasonable notice where practicable. Paid plans and purchased Creator Offerings remain subject to their applicable cancellation, refund, access, and mandatory-law requirements.

25.4 Effect of termination. Termination ends your right to use the affected Services, but does not erase accrued payment obligations, transaction records, dispute rights, indemnification obligations, intellectual-property rights, lawful retention obligations, or provisions that by their nature should survive.

25.5 Purchased access and pending matters. Termination does not automatically cancel or resolve a pending refund, chargeback, payout, legal hold, or other transaction matter. Treatment of purchased content or services is governed by the applicable Transaction Terms, Digital Content Delivery and Access Policy, Refund and Cancellation Policy, and mandatory law.

26. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING TEXTORITY AI, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TEXTORITY AND ITS LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXTORITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT DATA WILL NOT BE LOST OR ALTERED; THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE; OR THAT THE SERVICES WILL PRODUCE ANY PARTICULAR BUSINESS, FINANCIAL, AUDIENCE, CONVERSION, OR OTHER RESULT.

EXCEPT FOR OBLIGATIONS TEXTORITY EXPRESSLY ASSUMES UNDER THESE TERMS, APPLICABLE TRANSACTION TERMS, OR LAW, TEXTORITY MAKES NO WARRANTY REGARDING A CREATOR, END USER, CREATOR OFFERING, PROFESSIONAL SERVICE, USER CONTENT, OR THIRD-PARTY SERVICE AND DISCLAIMS RESPONSIBILITY FOR USER OR THIRD-PARTY CONDUCT, STATEMENTS, CONTENT, AND OUTCOMES.

Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, these exclusions apply only to the extent permitted by law.

27. LIMITATION OF LIABILITY

27.1 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXTORITY AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, AUDIENCE, DATA, OR REPUTATION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

27.2 Creator Offering claims. For a claim arising primarily from Creator Content, a Creator Service, a Creator’s professional conduct, or the quality, performance, or outcome of a Creator Offering, the aggregate liability of Textority and the parties listed in Section 27.1 will not exceed the greater of (a) the amount the claimant paid through the Services for the Creator Offering giving rise to the claim or (b) US$100, except to the extent a greater amount is required by non-waivable law or an express Textority obligation.

27.3 Other Textority claims. For other claims arising from Textority’s own Services or conduct, the aggregate liability of Textority and the parties listed in Section 27.1 will not exceed the greater of (a) the amount the claimant paid directly to Textority for Textority Services during the 12 months immediately preceding the event giving rise to the claim or (b) US$1,000, except to the extent a greater amount is required by non-waivable law or an express Textority obligation.

27.4 Payment and property obligations. The limitations in this Section do not reduce an amount that Textority is independently required to refund, reverse, return, remit, or pay under applicable law, binding Transaction Terms, or a final legal determination. Those amounts are not treated as consequential damages solely because they arise from a transaction.

27.5 Non-waivable liability. Nothing in these Terms limits liability that cannot lawfully be limited, including non-waivable liability for fraud, willful misconduct, certain gross negligence, death or personal injury caused by negligence, or mandatory consumer rights, to the extent applicable law so provides.

27.6 Basis of bargain. These limitations apply to the maximum extent permitted by law regardless of the theory of liability and are an essential basis of the parties’ agreement.

28. INDEMNIFICATION

28.1 Creators and business Users. If you are a Creator or business User, you will defend, indemnify, and hold harmless Textority and its affiliates, directors, officers, employees, and agents from third-party claims, demands, proceedings, liabilities, losses, damages, and reasonable attorneys’ fees arising out of or relating to your User Content; Creator Content; Creator Offerings; Creator Policies; professional services; unlawful conduct; infringement or misappropriation; false or misleading claims; privacy or messaging violations; taxes for which you are responsible; your configuration or misuse of Textority AI; or your material breach of these Terms or applicable Additional Terms.

Your indemnification obligation does not apply to the extent a claim is caused by Textority’s own breach of these Terms, violation of law, gross negligence, willful misconduct, or another act or omission for which Textority is legally responsible and that cannot properly be shifted to you.

28.2 Team members. An authorized team member does not assume the Creator entity’s commercial indemnification obligation solely by acting within assigned permissions. A team member remains responsible for that individual’s own fraud, intentional misconduct, unlawful activity, infringement, unauthorized access, or knowing misuse of the Services.

28.3 End Users. An End User who is not acting as a Creator or business User will indemnify Textority only for third-party claims caused by that End User’s fraud, intentional unlawful conduct, infringement or misappropriation, unauthorized disclosure of another person’s information, or material misuse of the Services in violation of Section 16, to the extent permitted by applicable law.

28.4 Teen Users and guardians. These Terms do not impose a general duty to defend or indemnify Textority on a Teen User. A guardian’s indemnification obligation, if any, applies only to the guardian’s own conduct and only to the extent permitted by law.

28.5 Procedure. Textority will provide reasonable notice of an indemnified claim and reasonable cooperation. The indemnifying party may control the defense with counsel reasonably acceptable to Textority, but may not settle a claim in a way that imposes liability, admissions, or non-monetary obligations on Textority without Textority’s written consent. Textority may participate with its own counsel at its own expense.

29. DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

29.1 Informal resolution first. Before starting arbitration or a court proceeding, the complaining party must send a written Notice of Dispute describing the claim, relevant facts, requested relief, and information sufficient to identify the account or transaction. Notices to Textority must be sent to hello@textority.com with the subject “Notice of Dispute” or by mail to Textority Inc., 10101 SW 27th Ter, Miami, FL 33165, United States, Attn: Legal. The parties will attempt in good faith to resolve the dispute for 60 days. This process is not required before an eligible small-claims action, emergency or temporary injunctive relief, a step reasonably necessary to preserve a claim before a limitations period expires, a claim or proceeding that applicable law does not permit the parties to subject to this process, or a report to a government agency.

29.2 Agreement to arbitrate. If a dispute is not resolved informally, you and Textority agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the parties’ relationship will be resolved by final and binding individual arbitration, except as expressly provided in this Section or where applicable law gives a party an unwaivable right to proceed elsewhere. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

29.3 Formation and statutory carve-outs. A court, not an arbitrator, decides whether an arbitration agreement was formed, whether a person accepted it or had authority to accept it, and whether the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act or another law makes a predispute arbitration agreement or joint-action waiver unenforceable for a particular case. After a valid arbitration agreement is established, the arbitrator decides other questions of interpretation, scope, and arbitrability to the extent permitted by law.

29.4 Administrator and rules. Arbitration will be administered by the American Arbitration Association (“AAA”) before a single arbitrator under the AAA rules applicable to the dispute. Consumer disputes will use the AAA Consumer Arbitration Rules where those rules apply. Business disputes will use the AAA Commercial Arbitration Rules where applicable. If the AAA determines that multiple filings qualify for administration under its Mass Arbitration Supplementary Rules, those rules and the applicable fee schedule control the administration of those filings. If the AAA is unavailable and the parties cannot agree on a substitute, a court of competent jurisdiction may appoint an arbitration administrator or arbitrator as permitted by law.

29.5 Hearing location and fees. Consumer hearings may be conducted remotely or, if an in-person hearing is required, in the county where the consumer resides unless the parties agree otherwise. Business hearings may be conducted remotely or in Miami-Dade County, Florida, unless the parties agree otherwise. Filing, administration, and arbitrator fees are allocated under the applicable AAA rules and law. Textority will pay any business-paid portion required by applicable consumer arbitration rules.

29.6 Individual proceedings; class and jury waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TEXTORITY WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS SUBJECT TO ARBITRATION MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. This waiver does not prevent application of the AAA Mass Arbitration Supplementary Rules to coordinated individual demands. If a court determines that this waiver is unenforceable for a particular claim or request for relief, that claim or request will proceed in court to the extent required, while arbitrable claims will proceed in arbitration where permitted.

29.7 Teen Users. A parent or legal guardian who accepts these Terms in connection with a Teen User agrees to this Section on the guardian’s own behalf and, to the fullest extent permitted by applicable law, on behalf of the Teen User. Nothing in this Section waives a right that applicable law does not permit a guardian to waive for a minor.

29.8 Right to opt out. You may opt out of the arbitration agreement in this Section within 30 days after you first accept these Terms by sending an email to hello@textority.com with the subject “Arbitration Opt-Out.” Include your name, the email associated with your account, and a clear statement that you opt out of arbitration. Opting out does not affect any other provision of these Terms. If Textority later presents a materially revised arbitration agreement for affirmative acceptance, any new opt-out right will be described with that revision.

29.9 Exceptions. Either party may bring an eligible individual claim in small claims court. Either party may seek temporary, preliminary, or emergency equitable relief in a court of competent jurisdiction when reasonably necessary to preserve the status quo, prevent imminent harm, preserve evidence, protect intellectual property, prevent unauthorized access, or protect the effectiveness of arbitration. Seeking limited emergency relief does not waive arbitration of claims that remain arbitrable. Nothing prevents a person from reporting conduct to or seeking relief from a government agency.

29.10 Public injunctive relief and non-waivable rights. If applicable law requires a request for public injunctive relief or another non-waivable remedy to be decided by a court, that request will be decided in court and, where permitted, any arbitrable individual claims will be stayed pending arbitration.

29.11 Commercial claim period. To the extent permitted by law, a Creator or business entity must bring a claim against Textority within one year after the claim accrues. This contractual period does not apply to an End User acting primarily for personal, family, or household purposes and does not shorten any period that applicable law does not permit the parties to shorten.

29.12 Governing law and court venue. These Terms and disputes not governed by another mandatory law are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs arbitration. Any court proceeding that is permitted under these Terms and is not required by applicable law to be brought elsewhere must be brought in the state or federal courts located in Miami-Dade County, Florida, and the parties consent to personal jurisdiction there. Mandatory consumer protections and non-waivable forum rights remain preserved.

29.13 Severability. If part of this Section is held unenforceable, the court will enforce the remainder to the maximum extent permitted by law. If the class or representative-action waiver is held unenforceable for a claim that cannot lawfully proceed on an individual basis, that claim will proceed in court rather than class arbitration unless the parties expressly agree otherwise after the dispute arises.

30. ADDITIONAL TERMS, CHANGES, AND ORDER OF PRECEDENCE

30.1 Additional Terms. Additional Terms apply only to the roles, features, transactions, or jurisdictions they address and only when they are made available and identified as applicable, separately accepted, or incorporated into a binding transaction or agreement. A document published later does not retroactively change a completed transaction unless applicable law permits and the governing terms provide for that change.

30.2 Examples. Additional Terms may include Creator Terms, Payment Terms, Creator Payout Terms, the Prohibited Products and Services Policy, the Refund and Cancellation Policy, Subscription and Auto-Renewal Terms, the Chargeback and Payment Dispute Policy, the Digital Content Delivery and Access Policy, marketplace or seller disclosures, privacy terms, AI terms, messaging terms, regional terms, and enterprise agreements.

30.3 Changes to these Terms. Textority may update these Terms prospectively. For a material change, Textority will provide reasonable notice through the Services, by email, or by another appropriate method before the change applies to an existing User where applicable law or the nature of the change requires advance notice. Textority will request affirmative reacceptance where required by law or where Textority determines that a change should not apply without renewed agreement. Non-material clarifications or changes required to address law, security, abuse, or technical operation may take effect when posted to the extent permitted by law.

30.4 No retroactive reduction of completed transaction rights. A change to these Terms does not retroactively reduce rights attached to a completed purchase, paid access period, or other transaction where the governing Transaction Terms or applicable law prohibit that reduction.

30.5 Order of precedence. If governing documents conflict, the following order applies to the conflict: (1) a written agreement signed by an authorized representative of Textority; (2) an applicable data-processing agreement for the processing it specifically governs; (3) applicable Regional Terms to the extent required by mandatory local law; (4) applicable Additional Terms for their specific subject matter; (5) these Terms; and (6) other Textority documentation. Mandatory law always controls where it cannot be varied by agreement.

31. GENERAL

31.1 Entire agreement. These Terms, applicable Additional Terms, Transaction Terms, and any written agreement signed by Textority form the agreement between you and Textority for the Services and subject matter they govern.

31.2 Assignment. You may not assign or transfer these Terms or an account without Textority’s prior written consent, except where applicable law gives you a non-waivable right to do so. Textority may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer to an affiliate or successor, subject to applicable law.

31.3 Independent parties. The parties are independent contractors. Except where a transaction-specific agreement expressly states otherwise, these Terms do not create a partnership, joint venture, franchise, employment, fiduciary, or agency relationship.

31.4 No third-party beneficiaries. Except for parties expressly protected by the indemnification, disclaimer, or liability provisions, these Terms do not create third-party beneficiary rights.

31.5 Electronic records and signatures. You agree that Textority may use electronic records and signatures for transactions and agreements to the extent permitted by law. Where a law requires a consumer to provide specific consent before a legally required written disclosure may be delivered electronically, Textority will obtain the consent required by that law. Nothing in this Section requires a person to accept electronic records where applicable law gives that person a non-waivable right to refuse.

31.6 Notices. Textority may send contractual notices to the email address associated with your account or through the Services. Formal legal notices to Textority must be sent to hello@textority.com and, where physical delivery is required, to Textority Inc., 10101 SW 27th Ter, Miami, FL 33165, United States, Attn: Legal.

31.7 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, labor disputes, government action, epidemic, major internet or utility failure, cyberattack, or failure of a critical third-party provider. This provision does not excuse payment obligations already accrued or obligations that applicable law does not permit to be excused.

31.8 Severability and waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.

31.9 Language. These Terms are drafted in English. A translation may be provided for convenience or legal compliance. If a translated version is required by applicable law or is expressly designated by Textority as controlling for a jurisdiction, that designation applies. Otherwise, the English version controls to the extent permitted by law.

31.10 Headings. Headings are for convenience and do not limit the meaning of a provision. “Including” means “including without limitation.”

32. GEOGRAPHIC SCOPE AND LOCAL LAW

32.1 United States company. Textority Inc. is a United States company incorporated in Delaware. The Services may be offered from the United States to Users in supported locations.

32.2 Supported countries and features. Availability may differ by country, User role, payment method, feature, Creator category, and provider support. A paid feature, Creator selling, payment method, or payout method is available only where Textority has actually enabled it and where applicable legal, tax, payment, sanctions, privacy, and operational requirements can be supported.

32.3 United States and Colombia. Textority may make selected Services available to Users in the United States and Colombia. Availability in either country does not mean every feature, Creator category, payment method, or payout method is enabled. Transaction-specific and regional disclosures may apply.

32.4 Local mandatory law. Nothing in these Terms limits a mandatory consumer, privacy, data-protection, e-commerce, payment, electronic-contracting, or other statutory right that applies to a User or transaction. A User’s responsibility to comply with law does not transfer to that User an obligation that applicable law independently places on Textority.

32.5 Colombia. Users and transactions subject to Colombian law may receive additional Spanish-language, consumer, privacy, payment, seller-identity, cancellation, reversal, or e-commerce disclosures where required. Applicable Colombian mandatory rights remain preserved regardless of a conflicting contractual term.

32.6 California notice. Under California Civil Code § 1789.3, California consumers may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

32.7 New Jersey residents. If you are a New Jersey resident, Sections 26 through 28 apply only to the extent permitted by applicable New Jersey law, including the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act.
