TEXTORITY SUBSCRIPTION AND AUTO-RENEWAL TERMS
Last Updated: September 30, 2026
These Subscription and Auto-Renewal Terms apply to subscriptions, memberships, automatically renewing Textority paid plans, recurring Creator Offerings, trials that may convert to paid recurring charges, and other recurring-charge arrangements made available through textority.com, text.me, text.to, lets.talk, the Textority web platform, and related online services operated by Textority Inc.
1. PURPOSE AND SCOPE
1.1 What these Terms govern. These Subscription and Auto-Renewal Terms (the “Subscription Terms”) govern the enrollment, recurring authorization, renewal, trial conversion, billing-frequency disclosures, renewal notices, price and material-term changes, cancellation, failed recurring payments, subscription status, and related records for Textority Paid Plans and Recurring Creator Offerings.
1.2 What these Terms do not comprehensively govern. Payment authorization, payment methods, transaction accounting, taxes, fees, and payment errors are governed by the Payment Terms. Refund eligibility and refund treatment are governed by the Refund and Cancellation Policy. Creator payout mechanics are governed by the Creator Payout Terms. Payment Disputes and chargebacks are governed by the Chargeback and Payment Dispute Policy when applicable. Delivery and access are governed by the applicable Transaction Terms, Creator Policies, and Digital Content Delivery and Access Policy when applicable.
1.3 Transaction-specific terms. A Subscription may also be governed by Transaction Terms and, for a Recurring Creator Offering, properly incorporated Creator Policies. Those transaction-specific terms may establish the price, Billing Frequency, Renewal Date, access period, Trial or Promotional Period, cancellation consequences, and other details of the particular Subscription, subject to higher-priority Textority terms and mandatory law.
1.4 No advice. These Subscription Terms describe contractual subscription and recurring-charge rules. They are not legal, tax, accounting, banking, or financial advice.
2. RELATIONSHIP TO OTHER TEXTORITY TERMS
2.1 Additional Terms. These Subscription Terms are Additional Terms under the Textority Terms of Service (the “Terms of Service”). The Terms of Service continue to apply.
2.2 Creator Terms. The Creator Terms govern Creator-specific obligations, including accurate recurring-offer information, Creator Policies, fulfillment, buyer support, and compliance with laws applicable to a Recurring Creator Offering.
2.3 Payment Terms. The Payment Terms govern payment authorization, Payment Methods, payment providers, transaction structure, recurring-charge processing, payment errors, refunds, reversals, and Payment Disputes within their subject matter.
2.4 Refund and Cancellation Policy. The Refund and Cancellation Policy governs whether a Cancellation, failed performance, Non-Delivery, Material Misdescription, unauthorized charge, or other event creates a Refund or other transaction remedy.
2.5 Order of precedence. The order of precedence in Section 30.5 of the Terms of Service applies. These Subscription Terms control only for their specific subscription and automatic-renewal subject matter. Mandatory law controls where it cannot be varied by agreement.
2.6 No retroactive application. A later version of these Subscription Terms does not retroactively authorize a recurring charge, revive a cancelled Subscription, or reduce rights attached to a completed transaction where the governing terms or applicable law prohibit that result.
3. PARTIES, ROLES, AND APPLICATION
3.1 Textority. Textority Inc. operates the Services and may provide, administer, facilitate, route, support, or record subscription, billing, notice, and cancellation functionality where the applicable transaction structure permits or requires it.
3.2 Transaction-specific commercial roles. The identity of the contracting seller, merchant of record, payment recipient, Payment Provider, and supplier for a paid Recurring Creator Offering depends on the applicable Transaction Terms, checkout, order confirmation, receipt, Payment Terms, provider configuration, and law. These Subscription Terms do not designate Textority as merchant of record or contracting seller for every Creator Offering transaction.
3.3 Creator. A Creator that offers a Recurring Creator Offering remains responsible for the Creator Offering, Creator Content, description, recurring information supplied to Textority, delivery or performance, access, support, and Creator Policies, together with any seller or supplier obligations assigned to the Creator by the applicable transaction structure or law.
3.4 Creator Team Members. A Creator Team Member may administer subscription information only within assigned permissions. Assigned access does not by itself make that person the Creator, seller, payment recipient, payout recipient, or person financially responsible for the Creator’s commercial obligations.
3.5 Entity accounts. If a Subscription is purchased or operated by an entity, the entity is the contracting party for obligations assigned to it. An authorized representative does not become personally liable for the entity’s ordinary commercial obligations solely because the representative accepted or administered the Subscription.
3.6 Payment Providers. A Payment Provider may process recurring charges, store or tokenize a Payment Method, send provider notices, retry eligible payments, or support cancellation-related payment actions according to the applicable configuration. A Payment Provider does not become the seller merely because it processes a recurring charge.
4. ACCEPTANCE AND EXERCISING RIGHTS
4.1 Acceptance. These Subscription Terms apply when they are made available and identified as applicable to a Subscription and are accepted or incorporated into the applicable enrollment or Transaction Terms.
4.2 Affirmative action. Where acceptance is required, Textority relies on an affirmative action presented as acceptance. Passive browsing alone does not create Recurring Authorization.
4.3 Exercising a right is not new acceptance. Cancelling a Subscription, declining a Retention Offer, requesting a Refund, reporting an unauthorized charge, disputing a recurring charge, complaining to a regulator, or exercising a consumer, payment, or legal right does not by itself constitute new acceptance of these Subscription Terms and does not waive a right.
4.4 Existing terms remain applicable. Properly accepted terms for an existing Subscription remain applicable according to their terms, subject to mandatory law and any valid prospective change.
5. DEFINITIONS
Capitalized terms not defined in these Subscription Terms have the meanings given in the Terms of Service, Creator Terms, Payment Terms, Creator Payout Terms, and Refund and Cancellation Policy, including Creator, Creator Offering, Creator Policies, End User, Payment Method, Payment Provider, Teen User, Transaction Terms, and User.
“Subscription” means an arrangement under which access, a service, a plan, a membership, or another offering continues or renews and a charge may recur until cancelled or otherwise ended.
“Textority Paid Plan” means a paid subscription plan for Textority’s own Services, as described in the applicable plan and Transaction Terms.
“Recurring Creator Offering” means a Creator Offering, including a membership, subscription, recurring service, or recurring access arrangement, for which charges recur or the offering automatically renews.
“Automatic Renewal” means renewal of a Subscription for another term unless the Subscription is cancelled or otherwise ended.
“Continuous Service” means a Subscription that continues until cancelled or otherwise ended rather than renewing for a fixed recurring term.
“Billing Frequency” means the interval at which recurring charges are scheduled, such as monthly or annually, as disclosed for the Subscription.
“Renewal Date” means the date on which the next recurring charge is scheduled or the date determined under the objective method disclosed for the Subscription.
“Recurring Authorization” means the authorization given for the disclosed recurring charges and recurring terms of a Subscription.
“Trial” means a period during which a Subscription is offered free of charge or at a reduced charge before the ordinary recurring price may begin.
“Promotional Period” means a limited period during which a stated discounted or promotional recurring price applies.
“Cancellation” means stopping future recurring charges or future Automatic Renewal according to the applicable effective date. Cancellation is not automatically a Refund.
“Retention Offer” means a discount, alternative plan, benefit, pause option, or other offer presented after a User begins or requests Cancellation.
6. SUBSCRIPTION ARCHITECTURE
6.1 Each recurring charge follows the applicable transaction structure. A renewal or recurring charge does not create a different seller, merchant-of-record, supplier, or payment architecture merely because the charge recurs. The roles that apply to the initial enrollment continue for the recurring transaction unless validly changed and disclosed under the governing terms and law.
6.2 Textority Paid Plans. Textority is the provider of its own Textority Paid Plans. Pricing, included features, Billing Frequency, renewal, Trial terms, plan changes, and cancellation treatment are those disclosed in the applicable plan flow and Transaction Terms.
6.3 Recurring Creator Offerings. For a Recurring Creator Offering, the Creator remains responsible for the Creator Offering and Creator-specific obligations. Commercial seller and payment roles remain transaction-specific as described in Section 3.2.
6.4 No second transaction created by Creator Policies. Properly incorporated Creator Policies may establish product-specific recurring, access, cancellation, or support terms, but they do not create a separate duplicate purchase transaction for the same charge where the applicable transaction structure provides otherwise.
6.5 No financial account created. A Subscription does not create a bank, escrow, custody, stored-value, deposit, or investment account.
7. TEXTORITY PAID PLANS AND RECURRING CREATOR OFFERINGS
7.1 Separate product categories. A Textority Paid Plan and a Recurring Creator Offering are separate product categories. A rule stated for one does not automatically apply to the other.
7.2 Textority plan terms. Textority may offer monthly, annual, or other plan structures only when the applicable plan flow actually offers them. These Subscription Terms do not establish a particular plan price, Billing Frequency, Trial duration, discount, minimum term, or included feature.
7.3 Creator recurring terms. A Creator may offer a Recurring Creator Offering only through recurring options Textority has enabled and only after providing accurate information required for the enrollment flow.
7.4 No unsupported recurring model. A Creator may not promise a recurring billing model, pause feature, proration method, Trial, Billing Frequency, currency, or cancellation method that the Services do not support.
8. PRE-ENROLLMENT DISCLOSURES
8.1 Material recurring terms. Before a User authorizes a recurring charge, the applicable enrollment flow must clearly present or make reasonably available the material recurring terms required for that Subscription and by applicable law.
8.2 Information normally disclosed. As applicable, the enrollment flow will identify or provide a method to determine:
(a) the product, plan, membership, or Creator Offering;
(b) that charges recur or the Subscription renews automatically;
(c) the recurring amount or method for determining the amount;
(d) the Billing Frequency;
(e) the Renewal Date or objective method for determining it;
(f) the Initial Term and Renewal Term, if any;
(g) material Trial or Promotional Period terms;
(h) the price that applies after a Trial or Promotional Period, where applicable;
(i) how to cancel or where cancellation instructions can be found;
(j) material access or service consequences of Cancellation;
(k) the applicable Refund and cancellation terms;
(l) applicable Creator Policies for a Recurring Creator Offering; and
(m) other information required by applicable law or Transaction Terms.
8.3 Proximity and clarity. Where applicable law requires recurring terms to appear in visual or temporal proximity to the request for consent, the enrollment flow will present them in that manner.
8.4 No hidden renewal. A recurring charge may not be presented in a manner that materially obscures Automatic Renewal, price, Billing Frequency, Trial conversion, or the method to stop future recurring charges.
9. AFFIRMATIVE CONSENT AND RECURRING AUTHORIZATION
9.1 Express authorization. A recurring charge requires affirmative authorization where required by law or the governing terms. Silence, inactivity, or a preselected choice is not treated as Recurring Authorization where affirmative consent is required.
9.2 Scope of authorization. Recurring Authorization is limited to the recurring price or method for determining it, Billing Frequency, and other material recurring terms disclosed when authorization is obtained, as those terms may later be validly changed under these Subscription Terms and applicable law.
9.3 No unlimited authorization. Recurring Authorization does not permit undisclosed charges, materially different billing frequencies, retroactive charges, or charges after a valid Cancellation except for an amount already validly incurred or otherwise authorized.
9.4 Separate purchases. A one-time purchase does not by itself authorize a Subscription, and a Subscription does not by itself authorize unrelated one-time charges.
10. ACKNOWLEDGMENT, RECEIPTS, AND ENROLLMENT RECORDS
10.1 Retainable acknowledgment. Where required by applicable law, Textority or the applicable transaction participant will provide a retainable acknowledgment or confirmation containing the recurring terms, cancellation information, or other required information.
10.2 Transaction records. Textority may maintain a record of the recurring terms presented, acceptance action, date and time, account identifier, Transaction Terms version, Billing Frequency, Renewal Date or determination method, Trial or Promotional Period terms, applicable Creator Policies, and Recurring Authorization where Textority receives or administers those records.
10.3 Provider records. Payment Providers may maintain separate authorization, tokenization, recurring-payment, notice, retry, and cancellation records under their own systems and terms.
10.4 No universal retention period. These Subscription Terms do not promise a single numerical retention period. Records are retained according to applicable law, legitimate transaction, fraud, dispute, tax, and compliance needs, and applicable Textority privacy and retention terms.
11. PRICE, BILLING FREQUENCY, AND RENEWAL TIMING
11.1 Price. The recurring amount or method for determining it is the amount disclosed for the Subscription, subject to a valid prospective change under Section 16.
11.2 Billing Frequency. The Subscription is charged only at the Billing Frequency disclosed and validly authorized, subject to payment-system timing and a valid prospective change.
11.3 Renewal timing. The Renewal Date, or an objective method for determining it, must be disclosed before authorization where required by applicable law or the governing Transaction Terms.
11.4 Taxes and payment charges. Applicable taxes and separately disclosed payment-related charges are governed by the Payment Terms and may change as permitted by law without changing the underlying Subscription price where they are legally distinct from that price.
11.5 No implied plan schedule. These Subscription Terms do not promise that a monthly charge occurs on a particular calendar day, that an annual Subscription renews on a particular date, or that any particular timezone or billing cutoff applies unless disclosed for the Subscription.
12. AUTOMATIC RENEWAL AND RECURRING CHARGES
12.1 Automatic Renewal only when disclosed and authorized. A Subscription renews automatically only when Automatic Renewal is disclosed and the recurring terms are validly authorized.
12.2 Continuation until ended. Subject to applicable law, a Subscription continues until it is cancelled, expires, is terminated, fails for nonpayment, is discontinued, or otherwise ends under its governing terms.
12.3 Recurring charge submission. A recurring charge may be submitted to the authorized Payment Method according to the valid Recurring Authorization and applicable Payment Terms.
12.4 No charge after effective Cancellation. Textority will not knowingly submit or direct a new recurring charge after a Cancellation has become effective, except for an amount already validly incurred before the effective time or another charge independently authorized by the User.
13. TRIALS AND PROMOTIONAL PERIODS
13.1 No universal Trial. These Subscription Terms do not promise that any Textority Paid Plan or Creator Offering includes a free or discounted Trial.
13.2 Trial disclosure. Where a Trial or Promotional Period may convert to a paid recurring charge, the enrollment flow must disclose the material Trial or Promotional Period terms, including duration or end date, the charge that follows or a method for determining it, Billing Frequency, and how to cancel before the paid charge begins.
13.3 Conversion requires valid authorization. A Trial converts to a paid Subscription only where the conversion and resulting recurring charges were validly disclosed and authorized.
13.4 Trial notices. Textority or the applicable transaction participant will provide a Trial-conversion reminder when required by applicable law or expressly promised in the Transaction Terms.
13.5 Trial abuse. Repeated enrollment or other conduct designed primarily to obtain successive promotional periods without paying may be restricted where permitted by law. A good-faith Cancellation or exercise of a statutory Trial right is not abuse.
14. CREATOR OBLIGATIONS FOR RECURRING CREATOR OFFERINGS
14.1 Accurate recurring information. A Creator must provide accurate, complete, and current recurring-offer information required for checkout or enrollment, including price, Billing Frequency, Trial or promotional terms, access conditions, Cancellation terms, and any material limitation.
14.2 Creator Policies. A Creator must keep applicable Creator Policies current and must not use them to waive mandatory consumer rights, obstruct lawful Cancellation, impose an undisclosed renewal condition, or retroactively reduce an existing subscriber’s rights.
14.3 No off-platform recurring charge evasion. A Creator may not use Textority enrollment, messaging, or checkout to disguise an unapproved recurring charge, route a prohibited recurring payment outside the disclosed flow, or avoid Textority or Payment Provider requirements.
14.4 Creator changes. A Creator that wants to change a recurring price, Billing Frequency, included access, or other material recurring term must use a method Textority supports and must comply with Section 16 and applicable law.
15. RENEWAL REMINDERS, TRIAL NOTICES, AND PERIODIC DISCLOSURES
15.1 Notices required by law. Textority or the applicable transaction participant will provide a renewal reminder, Trial-conversion notice, annual reminder, or other periodic recurring-charge notice when applicable law requires that notice for the Subscription and assigns the obligation to that participant.
15.2 Transaction-specific commitments. A notice expressly promised in applicable Transaction Terms will be provided according to those terms, subject to applicable law and events outside the responsible party’s reasonable control.
15.3 Content. A required or promised notice may include the Subscription identity, recurring amount or range, Billing Frequency, upcoming Renewal Date or cancellation deadline, material changes, and how to cancel, as applicable.
15.4 Delivery method. Notices may be delivered through email, account notification, text message where authorized, or another lawful method appropriate to the Subscription. Where applicable law requires use of a particular channel or the channel used for enrollment, that requirement controls.
15.5 No universal reminder schedule. These Subscription Terms do not create one reminder schedule for every User or every jurisdiction. The timing and content of a required notice depend on applicable law and the Subscription.
16. PRICE AND MATERIAL TERM CHANGES
16.1 Prospective changes only. A recurring price, Billing Frequency, Renewal Term, or other material recurring term may be changed only prospectively and only through a method permitted by the governing terms and applicable law.
16.2 Notice. Textority or the applicable Creator will provide the advance notice required by applicable law or binding Transaction Terms before a material recurring-term change takes effect.
16.3 Price increases. A recurring price increase must be clearly disclosed before the increased charge is submitted where applicable law or the governing terms require advance disclosure.
16.4 Renewed consent. If applicable law requires affirmative consent to a price increase or other material recurring-term change, the increased or changed recurring charge will not be treated as authorized until the required consent is obtained or another legally permitted mechanism applies.
16.5 Cancellation rights. A material change notice will include cancellation information where applicable law requires it.
16.6 No retroactive repricing. A price change does not retroactively increase an amount validly charged for an earlier paid period.
17. RENEWED AUTHORIZATION AND RECONSENT
17.1 When reauthorization may be required. Renewed authorization may be required by applicable law, Transaction Terms, or Payment Provider rules following a material price change, Billing Frequency change, Trial conversion, change in payer, change in Payment Method, expired authorization, or another material recurring-charge event.
17.2 No silent reauthorization. Textority will not treat continued account access, failure to cancel, or silence as renewed authorization where affirmative reconsent is legally required.
17.3 Declining reauthorization. If required reauthorization is not provided, Textority or the applicable transaction participant may allow the Subscription to expire, cancel future recurring charges, restrict paid access at the end of the paid period, or take another action permitted by the governing terms and law.
18. RIGHT TO CANCEL AND STOP FUTURE CHARGES
18.1 Cancellation right. A User may cancel a Subscription and stop future recurring charges through the cancellation method applicable to that Subscription, subject to amounts already validly incurred and mandatory law.
18.2 No mandatory reason. A User is not required to provide a substantive reason for Cancellation unless a specific legal or administrative process lawfully requires information reasonably necessary to identify the Subscription or authenticate the request.
18.3 No waiver. Cancelling does not waive a Refund right, Payment Dispute right, warranty right, statutory withdrawal right, or another non-waivable remedy.
18.4 No minimum-term penalty unless validly agreed and lawful. A Cancellation does not create an early-termination charge unless a validly disclosed minimum-term obligation or another lawful contractual basis expressly permits that charge.
19. ONLINE AND EQUIVALENT CANCELLATION METHODS
19.1 Online enrollment. Where a consumer Subscription is enrolled through a Textority-controlled online flow, Textority will provide an online method to cancel or stop future recurring charges when required by applicable law and will maintain at least one reasonably accessible online cancellation route for that Subscription.
19.2 Equivalent or same-medium cancellation. Where applicable law requires cancellation through the same enrollment medium, through every enrollment medium, or through a mechanism at least as easy as enrollment, Textority and the applicable Creator must comply with that requirement within the functionality they control.
19.3 No unnecessary live-agent requirement. Textority will not require interaction with a live or virtual representative to complete Cancellation where applicable law prohibits that requirement.
19.4 Creator limitations. A Creator may not require a User to leave the Textority cancellation flow, contact the Creator privately, attend a call, or satisfy an additional obstacle as a condition to stopping recurring charges where Textority or applicable law provides a direct cancellation method.
20. AUTHENTICATION, RETENTION OFFERS, AND NO OBSTRUCTION
20.1 Reasonable authentication. Textority may use reasonable authentication or account-security steps to confirm that a Cancellation request relates to the correct account or Subscription. Authentication may not be used as a pretext to obstruct or unreasonably delay Cancellation.
20.2 Retention Offers. Textority or a Creator may present a Retention Offer where permitted by law, but declining the offer must not prevent the User from completing Cancellation.
20.3 No obstruction. Textority and Creators may not intentionally hide the cancellation route, misrepresent the consequences of Cancellation, impose unreasonable conditions, or create unnecessary steps designed primarily to deter or delay a valid Cancellation.
20.4 No retaliation. A good-faith Cancellation, refusal of a Retention Offer, consumer complaint, or exercise of a legal right is not grounds for retaliation.
21. CANCELLATION EFFECTIVE DATE AND CONFIRMATION
21.1 Effective date. Cancellation stops future recurring charges according to the effective date stated in the applicable flow or Transaction Terms, subject to mandatory law and amounts already validly incurred.
21.2 Prompt processing. Where applicable law requires immediate or prompt processing of Cancellation, the responsible party will process the Cancellation accordingly.
21.3 Confirmation. Where required by applicable law or the applicable Textority flow, a Cancellation confirmation or account status will identify that future recurring charges have been stopped and may state when paid access ends.
21.4 Access period. Unless applicable law, a Refund, or Transaction Terms provide otherwise, Cancellation ordinarily stops the next renewal while allowing already-paid access to continue through the end of the current paid period.
21.5 No revival without authorization. A cancelled Subscription is not reactivated for future recurring charges without a new authorization or other lawful basis.
22. CANCELLATION VERSUS REFUND
22.1 Different actions. Cancellation stops future recurring charges or future renewal. A Refund returns all or part of a prior charge. One does not automatically require the other.
22.2 Prior authorized charges. Cancellation does not automatically refund a charge that was validly authorized and incurred before Cancellation became effective.
22.3 Refund rights. Refund eligibility is determined by the Refund and Cancellation Policy, applicable Creator Policies, Transaction Terms, provider or network rules, and mandatory law.
22.4 Post-cancellation charges. A recurring charge submitted after Cancellation became effective, and that was not already validly incurred or independently authorized, may be reviewed as an unauthorized or erroneous charge under the Payment Terms and Refund and Cancellation Policy.
23. PLAN CHANGES, UPGRADES, DOWNGRADES, AND SUBSCRIPTION MODIFICATIONS
23.1 No universal proration rule. These Subscription Terms do not create a universal rule for upgrade charges, downgrade timing, credits, proration, or plan migration.
23.2 Disclosed treatment controls. An upgrade, downgrade, tier change, billing-frequency change, pause, or other modification is handled according to the applicable plan flow, Transaction Terms, Creator Policies, and law.
23.3 Material changes. A modification that changes future recurring price, Billing Frequency, or another material recurring term remains subject to Sections 16 and 17.
23.4 No retroactive reduction. A Creator may not use a tier or policy change to retroactively remove already-purchased access or materially reduce rights attached to an already-paid period except where the governing terms and law permit that result.
24. FAILED RECURRING PAYMENTS, RETRIES, AND DUNNING
24.1 Failed charge. If a recurring charge is declined or fails, Textority or a Payment Provider may retry the charge only within the scope of a valid Recurring Authorization, applicable provider rules, and law.
24.2 No universal retry schedule. These Subscription Terms do not promise or authorize a fixed number of retries, retry interval, grace period, or dunning sequence.
24.3 Account or access consequences. A failed recurring payment may result in temporary grace access, restricted features, suspension of paid access, downgrade, expiration, or Cancellation only as disclosed by the applicable plan or offering terms and permitted by law.
24.4 Cancellation remains available. A failed payment or past-due status does not eliminate a User’s right to stop future recurring charges.
24.5 Amounts already owed. Cancellation or payment failure does not eliminate a charge or other amount already validly incurred before the Subscription ended.
25. ACCESS AND SERVICE AFTER CANCELLATION OR NONPAYMENT
25.1 Current paid period. Unless the applicable terms or law provide otherwise, a User who cancels after paying for a period may continue to receive the purchased access through the end of that paid period.
25.2 Immediate loss of access. Access may end earlier where a Refund is issued for the relevant period, the Transaction Terms clearly provide for immediate termination, fraud or account compromise requires protective action, content must be removed for legal or safety reasons, or applicable law permits or requires earlier termination.
25.3 Nonpayment. If a recurring payment fails and is not successfully resolved, paid access may end or be restricted according to the applicable terms and provider status.
25.4 Purchased Digital Content. Treatment of purchased or previously delivered Digital Content after Cancellation is governed by the applicable license, Transaction Terms, Refund and Cancellation Policy, and Digital Content Delivery and Access Policy when applicable.
26. CREATOR DISCONTINUATION OR INABILITY TO CONTINUE
26.1 Ending a Recurring Creator Offering. A Creator may discontinue future enrollment or future renewal of a Recurring Creator Offering only prospectively and subject to existing subscriber rights, applicable Transaction Terms, Creator Policies, and law.
26.2 Existing subscribers. A Creator must not continue recurring charges for an offering that the Creator cannot or will not materially provide, except where a lawful and properly disclosed transition or substitute performance applies.
26.3 Buyer remedies. If a Creator discontinues, materially reduces, or cannot perform a Recurring Creator Offering, the subscriber’s remedies are determined under the Refund and Cancellation Policy, applicable Transaction Terms, Creator Policies, and mandatory law.
26.4 Textority enforcement. Textority may stop future recurring charges, suspend enrollment, restrict the Creator Offering, or take another action permitted by the Terms of Service, Creator Terms, Payment Terms, provider requirements, or law.
27. UNAUTHORIZED, REVOKED, OR DISPUTED RECURRING CHARGES
27.1 Separate categories. Cancellation, revocation of payment authorization, an unauthorized charge, a duplicate charge, a billing error, a Refund request, and a Payment Dispute are separate processes and may have different legal effects.
27.2 Unauthorized charges. A User may report a recurring charge as unauthorized without first cancelling the Subscription, subject to reasonable verification and applicable Payment Method procedures.
27.3 Revocation. A legally effective revocation of recurring payment authorization stops future charges to the extent required by applicable law or Payment Method rules. Revocation does not necessarily eliminate a separate payment obligation already validly incurred.
27.4 External rights. Nothing in these Subscription Terms limits a non-waivable right available through a card issuer, bank, Payment Provider, payment network, regulator, or applicable statute.
27.5 No contact-first condition. Textority may encourage direct resolution, but a User is not required to contact Textority or a Creator before using an external payment right where applicable law or the governing Payment Method rules do not permit that condition.
28. TEEN USERS AND GUARDIAN AUTHORIZATION
28.1 Guardian framework. Purchases and recurring enrollments connected to a Teen User are subject to the guardian-authorization framework in Section 4 of the Terms of Service.
28.2 Recurring authorization. A guardian’s authorization covers only the recurring charges and recurring terms properly disclosed for the authorized enrollment.
28.3 Material changes. A material price or recurring-term change may require renewed guardian authorization where applicable law, Transaction Terms, or the applicable Textority flow requires it.
28.4 Cancellation. A guardian may exercise the cancellation rights made available for the Subscription, subject to applicable law and the governing terms.
29. UNITED STATES CONSUMER SUBSCRIPTIONS
29.1 ROSCA. For an online negative-option transaction subject to the Restore Online Shoppers’ Confidence Act, the material terms must be clearly and conspicuously disclosed before billing information is obtained, express informed consent must be obtained before charging, and a simple mechanism must be provided to stop recurring charges.
29.2 State automatic-renewal laws. State law may impose additional requirements concerning disclosure placement, acknowledgments, affirmative consent, annual reminders, pre-renewal notices, Trial notices, price changes, cancellation methods, same-medium cancellation, immediate online cancellation, Retention Offers, and records. Those requirements apply when the relevant state law governs the Subscription.
29.3 Online cancellation. Where state law requires a consumer who enrolled online to cancel online or through a mechanism at least as easy as enrollment, the applicable Textority-controlled subscription flow will provide that method.
29.4 Notices. Where state law requires an annual reminder, a pre-renewal notice for a long-term Subscription, a Trial-conversion reminder, or a price-change notice, the responsible transaction participant will provide the notice within the legally required period and through the legally required or permitted method.
29.5 No waiver. A state or federal consumer right that cannot lawfully be waived controls over a conflicting term in these Subscription Terms, Creator Policies, or Transaction Terms.
30. COLOMBIA CONSUMER SUBSCRIPTIONS AND AUTOMATIC RENEWAL
30.1 Applicability. This Section applies where Colombian consumer law governs the Subscription.
30.2 Express acceptance and information. Automatic-renewal, duration, minimum-term, termination, and recurring-charge conditions must be disclosed and accepted in the manner required by Colombian law. Where a separate document or express acceptance is legally required for an automatic-renewal or minimum-permanence clause, that requirement controls.
30.3 Termination of automatic renewal. A contractual automatic-renewal clause may not prevent a Colombian consumer from terminating the contract when Colombian law gives the consumer that right, and may not impose an unlawful early-termination penalty.
30.4 Minimum permanence. A minimum-permanence clause is used only where permitted by Colombian law and subject to the conditions that law imposes, including any required substantial consumer advantage, alternative without minimum permanence, duration limit, express agreement, and proportional treatment on early termination.
30.5 Automatic extension after a minimum term. Where a Colombian contract automatically continues after an applicable minimum-permanence period, the consumer retains the termination rights provided by Article 41 of the Colombian Consumer Statute and other applicable law.
30.6 Abusive clauses. A Creator Policy, Textority term, or Transaction Term does not apply to the extent it constitutes an ineffective or abusive clause under mandatory Colombian consumer law, including an unlawful restriction on a consumer’s ability to terminate an automatically renewed contract.
30.7 E-commerce acceptance. For a covered Colombian e-commerce transaction, acceptance must be express, unequivocal, and capable of verification as required by law, and required contract terms must be made available in the manner required by applicable e-commerce rules.
31. BUSINESS PURCHASERS AND NON-CONSUMER ACCOUNTS
31.1 Consumer-law application is fact-specific. Some automatic-renewal statutes apply only to consumers, while others may also cover certain small businesses or other purchasers. Applicability depends on the jurisdiction, purchaser, transaction, and statutory definition.
31.2 Contractual rules remain. The contractual disclosure, authorization, cancellation, and record requirements in these Subscription Terms apply according to their terms even where a particular consumer-only statute does not apply, unless a valid business agreement provides otherwise.
31.3 Enterprise terms. A signed enterprise or negotiated business agreement may establish different renewal, notice, billing, or cancellation terms to the extent applicable law permits.
32. SUBSCRIPTION RECORDS AND AUDIT TRAIL
32.1 Records. Textority may maintain records relating to a Subscription where Textority receives or administers those records, including enrollment terms, Transaction Terms, Creator Policies, acceptance, Recurring Authorization, notices, price changes, renewed consent, recurring charges, cancellation requests, cancellation confirmation, and subscription status.
32.2 Accuracy. Textority may correct an identified record error and may rely on provider, system, transaction, or communication records reasonably relevant to the issue.
32.3 Creator cooperation. A Creator must maintain and provide records reasonably necessary to support recurring terms, delivery, access, notices, cancellation, and other Creator obligations where required by the Creator Terms or applicable law.
32.4 Privacy and retention. Subscription records are processed and retained subject to applicable privacy law, legal obligations, fraud prevention, dispute needs, and applicable Textority privacy and retention terms.
33. ABUSE, FRAUD, AND GOOD-FAITH RIGHTS
33.1 Prohibited abuse. A User may not knowingly fabricate a Cancellation, falsify evidence, use a stolen Payment Method, seek duplicate recovery, or engage in systematic Trial or promotional abuse designed primarily to evade payment.
33.2 Protective action. Textority may investigate suspected abuse and take action permitted by the Terms of Service, Payment Terms, provider rules, and applicable law.
33.3 Good-faith rights protected. A good-faith Cancellation, refusal of a Retention Offer, Refund request, payment complaint, unauthorized-charge report, Payment Dispute, chargeback, regulatory complaint, or exercise of a statutory right does not by itself constitute abuse.
34. CHANGES AND VERSIONING
34.1 Changes to these Subscription Terms. Textority may update these Subscription Terms prospectively in accordance with the Terms of Service.
34.2 Material changes. A material change receives the notice or affirmative acceptance required by the Terms of Service, applicable Transaction Terms, or applicable law.
34.3 Existing Subscriptions. A change to these Subscription Terms does not by itself reauthorize a cancelled Subscription, retroactively change an already-incurred recurring charge, or eliminate a non-waivable right.
34.4 Legal or provider changes. Textority may make a change effective on a shorter timeline where reasonably necessary to comply with law, court order, regulator requirements, Payment Provider or network requirements, fraud prevention, or security, subject to any mandatory notice or consent requirement.
35. DISPUTE RESOLUTION
35.1 Legal disputes. Section 29 of the Terms of Service governs legal disputes between a User and Textority, including the arbitration agreement, class action waiver, jury trial waiver, arbitration opt-out, governing law, and applicable exceptions.
35.2 External payment processes. Nothing in these Subscription Terms eliminates a non-waivable right to use an issuer, bank, Payment Provider, payment-network, regulatory, or statutory process.
35.3 Creator disputes. A disagreement between a Creator and subscriber concerning fulfillment, access, Creator Policies, or a Creator Offering does not alter the dispute terms that govern claims against Textority and does not eliminate any mandatory right.
