TEXTORITY MARKETPLACE AND SELLER DISCLOSURE
Last Updated: September 30, 2026
This Marketplace and Seller Disclosure (the “Disclosure”) applies to textority.com, text.me, text.to, lets.talk, the Textority web platform, and related online services made available by Textority Inc. through which a Creator Offering may be listed, presented, purchased, confirmed, recorded, delivered, or supported.
1. PURPOSE AND SCOPE
1.1 Purpose. This Disclosure explains how Textority identifies the parties and commercial roles involved when a Creator makes a Creator Offering available through the Services. It addresses Creator identity, seller and supplier disclosures, checkout information, digital-content license disclosures, payment-provider roles, transaction records, and jurisdiction-specific marketplace or e-commerce requirements.
1.2 Transaction-specific roles. The contracting seller, merchant of record, payment recipient, Payment Provider, supplier, and other commercial roles may differ by transaction and payment configuration. This Disclosure does not designate Textority as the contracting seller or merchant of record for every Creator Offering transaction.
1.3 Creator responsibility. Unless Textority expressly identifies itself as the substantive provider of a particular offering, the Creator remains responsible for the Creator Offering, including its description, legality, content, licensing, quality, delivery, performance, support, and professional conduct.
1.4 Related documents. Refunds, cancellations, subscriptions, payments, payouts, chargebacks, Digital Content delivery, prohibited categories, Creator eligibility, and other matters remain governed by the applicable Terms of Service and Additional Terms.
1.5 No legal classification by title. The word “marketplace” in the title of this Disclosure describes functionality in ordinary language. It does not by itself determine whether Textority is an “online marketplace,” “marketplace facilitator,” “payment facilitator,” “portal de contacto,” reseller, agent, merchant of record, settlement merchant, or another statutory, tax, payment-network, or provider classification.
2. RELATIONSHIP TO OTHER TEXTORITY TERMS
2.1 Additional Terms. This Disclosure is Additional Terms under the Terms of Service for the subject matter it addresses.
2.2 Order of precedence. The order-of-precedence rules in the Terms of Service apply. Mandatory law controls where it cannot lawfully be varied by agreement.
2.3 No retroactive change. A later version of this Disclosure does not by itself change the seller identity, supplier identity, license, delivery terms, or other material terms that governed a completed transaction.
2.4 No new payment or refund right. This Disclosure does not independently create a Refund, payout, Payment Dispute, chargeback, tax, or settlement right. Those matters are governed by the applicable transaction terms, Textority policies, provider rules, and law.
3. DEFINITIONS
Capitalized terms not defined here have the meanings given in the Terms of Service and applicable Additional Terms.
“Contracting Seller” means the person or entity that contracts with the buyer to sell the applicable Creator Offering, as identified by the applicable Transaction Terms and law.
“Creator” means the User responsible for the Channel or Creator Offering, as defined in the Terms of Service.
“Creator Offering” means Digital Content, Creator Services, access, memberships, subscriptions, courses, bookings, or another offering a Creator makes available through the Services.
“Merchant of Record” means the party identified as merchant of record for a transaction under the applicable payment, contractual, provider, network, or legal framework. A technical payment role or statement descriptor alone does not necessarily determine that status.
“Payment Provider” means a third party that provides payment-processing, acquiring, payment-method, settlement, payout, or related services.
“Supplier” means the person or entity that creates, supplies, performs, delivers, or supports the Creator Offering. Unless the applicable Transaction Terms state otherwise, the Creator is the Supplier.
“Transaction Terms” means the checkout, order, confirmation, receipt, and other transaction-specific terms and disclosures applicable to a purchase or paid enrollment.
4. TEXTORITY, CREATORS, AND COMMERCIAL ROLES
4.1 Textority’s platform role. Textority provides technology through which Creators may describe Creator Offerings, communicate with buyers, accept supported purchases or paid enrollments, deliver supported Digital Content, schedule supported Creator Services, and use related commerce features.
4.2 No universal seller role. Textority may have different commercial or payment roles in different transaction configurations. Providing checkout, payment technology, transaction records, customer support, a statement descriptor, or payout administration does not by itself establish that Textority is the Contracting Seller, Merchant of Record, marketplace facilitator, payment facilitator, or statutory seller for every transaction.
4.3 Creator role. The Creator is responsible for the Creator Offering and must provide accurate and current information about the Creator, the offering, and any product-specific terms. A Creator may also be the Contracting Seller or another legally relevant seller or provider where the applicable Transaction Terms and law establish that role.
4.4 Payment Provider role. A Payment Provider processes or supports payments according to its own agreement and the selected configuration. A Payment Provider does not become the Supplier or Contracting Seller merely because it processes a payment.
4.5 External classifications. Statutory, tax, network, acquiring, and provider classifications are determined under the external rule that defines them. Textority does not use this Disclosure to avoid a classification whose legal elements are actually met.
5. CREATOR IDENTITY AND OFFERING IDENTITY
5.1 Accurate identity. A Creator must provide accurate, complete, and current identity and business information reasonably required for account operation, commerce, verification, buyer disclosures, taxes, safety, or legal compliance.
5.2 Public-facing identity. A Creator may operate under an individual name, business name, professional name, or brand name permitted by the Services. A public-facing name must not falsely imply that the Creator is another person or organization or that an affiliation, authorization, credential, endorsement, or sponsorship exists when it does not.
5.3 Legal identity. A brand or professional name does not replace the legal identity information Textority or a Payment Provider may require for onboarding, payment, tax, verification, complaints, or legal obligations.
5.4 Offering identity. A listing must make it reasonably clear which Creator is responsible for the Creator Offering. The Creator must not design a listing or checkout presentation to conceal responsibility for the offering or materially confuse a buyer about who supplies it.
6. LISTINGS AND PRE-PURCHASE DISCLOSURES
6.1 Material information. Before a buyer completes a paid Creator Offering transaction, the listing or checkout must disclose the material information reasonably necessary to understand the transaction. Depending on the offering, this may include the Creator identity, what is included, price, currency, delivery or performance timing, access duration, material restrictions, recurring terms, cancellation terms, refund terms, technical requirements, and applicable Creator Policies.
6.2 Seller and Supplier roles. The Transaction Terms must identify the Creator as Supplier where applicable and must identify the Contracting Seller, Merchant of Record, payment recipient, or Payment Provider when those roles are material to the transaction and are known or required to be disclosed.
6.3 No contradictory presentation. A listing, checkout, receipt, or help page must not materially contradict the Transaction Terms concerning who supplies the offering, who sells it, or who processes payment.
6.4 Creator Policies. Product-specific Creator Policies apply only to the extent presented or incorporated before purchase and only if consistent with higher-priority Textority terms and mandatory law.
7. CHECKOUT DISCLOSURES
7.1 Required checkout information. Checkout should present, as applicable, the Creator or Supplier identity, offering description, total price, currency, taxes or charges presented to the buyer, recurring amount and frequency, trial conversion terms, cancellation method, material delivery or access terms, applicable license information, and the material payment or seller roles identified for that transaction.
7.2 Clear presentation. Material seller, Supplier, recurring-charge, license, and price disclosures must be presented clearly enough that a reasonable buyer can understand them before authorization. Material information must not be hidden in a manner that makes the overall presentation misleading.
7.3 Transaction snapshot. Textority may record the transaction terms and disclosures presented at checkout, together with version, time, acceptance, payment, and order information reasonably relevant to the transaction.
7.4 Completed transactions. A Creator may not retroactively change a completed buyer’s material purchase terms, including seller or Supplier identity, price, promised components, purchased access period, or license terms, except where the original Transaction Terms or applicable law permit the change.
8. PRICE, CURRENCY, TAX, AND FEES
8.1 Price disclosure. The price and currency applicable to a transaction must be disclosed before the buyer authorizes payment.
8.2 Taxes and additional charges. Taxes, processing charges, or other buyer-facing amounts are disclosed as required by applicable law and the governing Transaction Terms. This Disclosure does not establish who is legally responsible for collecting or remitting a particular tax.
8.3 Marketplace tax classifications. A contractual seller role does not by itself determine whether Textority or a Creator is a marketplace facilitator, marketplace seller, retailer, vendor, or other taxable person under a particular tax law.
8.4 No hidden reclassification. Textority will not describe a transaction in this Disclosure as having a tax or statutory classification that has not been established under the applicable law and actual operating model.
9. PAYMENT PROVIDERS, PAYMENT CONFIGURATIONS, AND DESCRIPTORS
9.1 Provider-specific structures. Payment Providers may support different account, charge, settlement, and payout structures. The selected structure may affect which party receives payment, appears in provider records, bears fees or losses, or is treated as merchant for provider purposes.
9.2 Transaction Terms control buyer-facing role disclosure. The buyer-facing seller and payment-role disclosures for a transaction are determined by the applicable Transaction Terms and actual payment configuration, not by a generalized statement that applies to every transaction.
9.3 Statement descriptors. Where a payment statement descriptor is used, Textority or the relevant Payment Provider may configure the descriptor to help the buyer recognize the charge. A descriptor is not, by itself, a definitive legal classification of the Contracting Seller or Merchant of Record.
9.4 Provider terms. A buyer or Creator may also be subject to applicable Payment Provider terms. Those provider terms do not eliminate rights or obligations that applicable law or Textority’s governing terms place on another party.
10. TEXTORITY PAID PLANS
10.1 Separate product. A Textority paid plan is a Textority service and is distinct from a Creator Offering.
10.2 No Creator supplier role. A Creator does not become the Supplier or seller of a Textority paid plan merely because the Creator has a Channel or uses commerce features.
10.3 Plan disclosures. Textority plan pricing, billing, renewal, cancellation, Refund, and payment terms are governed by the applicable Textority plan disclosures, Payment Terms, Subscription and Auto-Renewal Terms, Refund and Cancellation Policy, and Terms of Service.
11. DIGITAL CONTENT, LICENSES, AND OWNERSHIP
11.1 License, not copyright transfer. Unless the applicable terms expressly state otherwise, obtaining Digital Content gives the End User a limited license or usage right and does not transfer copyright or ownership of the underlying Creator Content.
11.2 Creator rights. The Creator must own or have the rights and permissions necessary to make the Digital Content available and to grant the usage rights described for the Creator Offering.
11.3 Access conditions. Any material duration, download, streaming, account, device, territory, transfer, redistribution, or revocation condition that applies to a Digital Content license must be disclosed as required by the applicable terms and law.
11.4 California covered digital goods. For a transaction subject to California Business and Professions Code Section 17500.6, if a covered Digital Good is advertised or offered using “buy,” “purchase,” or similar ownership language and the statutory exemption does not apply, the required license disclosure or affirmative acknowledgment must be provided separately and clearly before or at the transaction in the manner required by law.
11.5 No universal California classification. Not every item within Textority’s broader definition of Digital Content is necessarily a “digital good” under Section 17500.6. Applicability depends on the statutory definition, the content type, the access model, and any statutory exception.
12. CREATOR SERVICES AND PROFESSIONAL RELATIONSHIPS
12.1 Creator Services. If a Creator Offering includes coaching, consulting, education, professional services, appointments, sessions, or another service, the Creator is responsible for performing the service as described.
12.2 Professional relationships. A separate professional relationship may arise directly between a licensed or regulated Creator and an End User. Textority is not a licensed professional merely because the Services facilitate scheduling, communications, payment, or access.
12.3 Credentials. Where law requires a Creator to hold a license, registration, permit, certification, or other professional authorization, the Creator is responsible for maintaining it and for making any legally required professional disclosures.
13. CREATOR CONTACT AND BUYER SUPPORT
13.1 Creator support route. A Creator must provide the support or contact method required by the Services, Transaction Terms, or applicable law for the Creator Offering.
13.2 Textority contact. Buyers may contact Textority through the routes stated in Section 28 for issues involving Textority’s Services, transaction records, applicable Textority policies, or a report concerning fraud, impersonation, or misleading identity.
13.3 Direct communication where required. Where applicable law requires a buyer to be able to contact a seller, provider, Supplier, or Creator directly, Textority and the Creator must support the required communication method for the covered transaction.
13.4 No universal publication of private data. This Disclosure does not require Textority to publish every Creator’s residential address, personal telephone number, tax identifier, bank information, or government identification. Any legally required disclosure is handled according to the applicable law and available privacy or safety exception.
14. ORDER CONFIRMATIONS, RECEIPTS, AND TRANSACTION HISTORY
14.1 Confirmation. For a completed purchase, Textority or the applicable Payment Provider may provide or administer an order confirmation, receipt, transaction-history entry, or similar record.
14.2 Content. A record may include the offering, Creator or Supplier identity, seller or merchant information where applicable, price, currency, taxes or charges, date, payment status, recurring status, delivery or access information, and applicable transaction identifiers.
14.3 Provider receipts. A Payment Provider may issue a separate payment receipt or confirmation. The provider’s receipt does not by itself replace a disclosure that Textority or the Contracting Seller is legally required to provide.
14.4 Records are not warranties. A transaction record documents the transaction information available to the system. It does not independently guarantee quality, legal compliance, fulfillment, or outcome of the Creator Offering.
15. IDENTITY CHANGES, BUSINESS CHANGES, AND CONTINUITY
15.1 Creator updates. A Creator must promptly update identity or business information that is materially inaccurate or outdated.
15.2 Brand changes. Changing a display name, brand, or Channel name does not retroactively change the legal identity or responsibilities associated with a completed transaction.
15.3 Entity or ownership changes. A Creator may not use an entity conversion, ownership change, account transfer, or rebranding to avoid obligations connected to prior Creator Offerings. Textority may require re-verification, updated payment onboarding, or other steps before future sales continue.
15.4 Buyer records. Where reasonably practicable, transaction records should preserve the identity information that was material and presented at the time of the completed transaction.
16. VERIFICATION, KYC, AND NO ENDORSEMENT
16.1 Different verification functions. Payment-provider onboarding, identity verification, business verification, tax verification, sanctions screening, credential verification, and any public-facing verification status are separate processes.
16.2 Limited meaning. A verification confirms only what the specific check covers at the time performed. It is not a guarantee of quality, legality, performance, solvency, competence, safety, or continuing eligibility.
16.3 No implied endorsement. Listing, verification, availability, search placement, recommendation features, or payment onboarding do not by themselves mean that Textority endorses, sponsors, guarantees, or recommends a Creator or Creator Offering.
16.4 No unsupported badge. Textority will not describe a Creator as “verified,” “licensed,” “approved,” “trusted,” or similar unless Textority has implemented a defined process supporting that specific claim.
17. REFUNDS, CANCELLATIONS, AND PAYMENT DISPUTES
17.1 Separate processes. Refunds, Cancellations, reversals, chargebacks, and Payment Disputes are governed by their applicable terms and processes. They do not automatically change who supplied the Creator Offering or rewrite the commercial roles that applied when the transaction occurred.
17.2 Refund effect. A Refund may reverse or adjust the financial consequences of a transaction without creating a new sale.
17.3 External disputes. A bank, issuer, network, or Payment Provider dispute outcome does not by itself determine every underlying contractual, statutory, or professional issue between the buyer, Creator, and Textority.
17.4 Mandatory rights. Nothing in this Disclosure limits non-waivable consumer, payment, or regulatory rights.
18. SUSPENSION, REMOVAL, AND ENFORCEMENT
18.1 Grounds. Textority may restrict or remove a listing, Creator Offering, commerce feature, or account as permitted by the Terms of Service, Creator Terms, Prohibited Products and Services Policy, provider requirements, safety rules, or law.
18.2 Existing buyers. Suspension or removal does not automatically eliminate buyer rights arising from a completed transaction. Delivery, access, Refund, and dispute consequences are determined under the applicable Transaction Terms, Textority policies, provider rules, and law.
18.3 Statutory suspension. If applicable law requires suspension of future sales activity because a seller fails to provide or verify required information, Textority may take the action required by that law.
19. UNITED STATES MARKETPLACE LAWS AND THE INFORM CONSUMERS ACT
19.1 Current digital and services scope. Textority’s current supported Creator Offerings do not include physical goods. The federal INFORM Consumers Act uses a definition of “consumer product” based on tangible personal property and imposes marketplace obligations concerning qualifying high-volume third-party sellers of new or unused consumer products.
19.2 No current INFORM classification for digital-only offerings. On the current product scope, this Disclosure does not treat Digital Content, memberships, courses, bookings, or Creator Services as tangible consumer products for purposes of the INFORM Consumers Act.
19.3 Future physical goods. If Textority later enables physical consumer products, Textority must evaluate the INFORM Consumers Act and applicable state marketplace laws before launch, including seller-information collection, verification, certification, disclosure, reporting mechanisms, privacy protections, and suspension requirements where the applicable thresholds and definitions are met.
19.4 Other laws remain applicable. Section 19.2 does not exempt Textority or Creators from generally applicable advertising, consumer-protection, subscription, privacy, payment, intellectual-property, professional-services, or other laws that apply to digital products or services.
20. COLOMBIA E-COMMERCE AND SELLER INFORMATION
20.1 Electronic-commerce providers. Where Article 50 of Colombia’s Law 1480 of 2011 applies to a provider or seller offering products or services electronically, the legally responsible party must provide the identity, contact, offering, pricing, transaction, complaint, delivery, and other information required by then-current law.
20.2 Creator information. A Creator that is legally required to identify itself as a Colombian provider, seller, or supplier must provide Textority with the information reasonably necessary to support the legally required disclosure. This may include legal name, tax identification, judicial-notice address, telephone number, email address, or other information when the law requires it.
20.3 Complaint channels and traceability. Where Colombian e-commerce law requires an accessible consumer-assistance or complaint channel, complaint tracking, registration number, date and time record, or follow-up mechanism, the legally responsible party must provide or support that functionality as required by law.
20.4 SIC link. Where Colombian law requires a visible and easily identifiable link to Colombia’s consumer-protection authority, the responsible e-commerce implementation must provide that link.
20.5 Minors. Where Colombia’s electronic-commerce rules require age-related measures or express parental authorization for a transaction involving a minor, those requirements apply in addition to Textority’s guardian framework.
21. COLOMBIA PORTALES DE CONTACTO
21.1 Separate legal classification. Article 53 of Colombia’s Law 1480 establishes obligations for a “portal de contacto” that makes an electronic platform available for sellers to offer products and for consumers to contact them through that mechanism.
21.2 No portal-status claim. Textority does not claim in this Disclosure that it is or is not a “portal de contacto” for every Colombian transaction. The classification depends on the actual operating model and applicable legal interpretation.
21.3 Required seller records if applicable. If Article 53 applies to Textority, Textority will require the seller or offeror identification information required by law, maintain the required record, make the legally required information available to a purchaser for a complaint or claim, and provide it to a competent authority when legally required.
21.4 No improper reliance on intermediary status. Textority will not rely on a portal or intermediary label to avoid obligations that apply because Textority actually performs a legally material role in the transaction.
22. PHYSICAL GOODS ARE NOT CURRENTLY SUPPORTED
22.1 Current exclusion. Physical goods and shipping transactions are not supported unless Textority expressly enables them under updated terms.
22.2 No shipping promises. This Disclosure does not create shipping, carrier, product-safety, product-return, inventory, or physical-fulfillment terms.
22.3 Future review. Enabling physical goods requires a new legal and operational review of marketplace, tax, product-safety, seller-verification, shipping, return, payment-provider, and consumer-protection requirements before launch.
23. PRIVACY, SAFETY, AND DATA MINIMIZATION
23.1 Seller information. Textority may collect Creator identity, business, payment, tax, verification, and contact information as permitted by the governing privacy terms and as reasonably necessary for the Services, compliance, safety, fraud prevention, payment, or transaction obligations.
23.2 Public disclosure. Textority will disclose Creator or seller information to buyers only as reasonably necessary for the transaction or as required by applicable law, while respecting available safety and privacy protections.
23.3 Sensitive information. Bank-account information, full payment credentials, tax identifiers, government identification, and similar sensitive verification materials are not public seller-profile information merely because Textority or a Payment Provider collects them.
23.4 Authority requests. Textority may provide seller information to a regulator, court, law-enforcement authority, consumer-protection authority, Payment Provider, or other person when authorized or required by applicable law or governing terms.
24. TEEN USERS, GUARDIANS, AND BUSINESS PURCHASERS
24.1 Adult Creator roles. A Teen User may not operate a Channel, sell Creator Offerings, or receive payouts under the Terms of Service.
24.2 Guardian purchases. A parent or legal guardian is responsible for authorizing purchases or recurring enrollments connected to a Teen User to the extent required by the Terms of Service and applicable law.
24.3 Buyer-facing disclosure. Seller, Supplier, recurring-charge, and other material transaction disclosures must be presented to the person legally authorizing the transaction.
24.4 Business purchasers. If a person purchases on behalf of a business or other entity, that entity is the buyer when the individual has authority to bind it. Consumer-only rights apply only where the governing law makes them applicable.
25. IMPERSONATION, MISLEADING IDENTITY, AND REPORTING
25.1 Prohibited conduct. A Creator may not impersonate another person or organization, conceal a material seller or Supplier identity where disclosure is required, falsify business information, or create a materially misleading impression concerning affiliation, authorization, credentials, location, or responsibility for a Creator Offering.
25.2 Reporting. A person may report suspected impersonation, misleading seller or Supplier identity, fraud, or other suspicious activity through Textority’s available reporting routes.
25.3 Good-faith complaints. A good-faith complaint, report, Refund request, Payment Dispute, or regulatory complaint is not abuse merely because it is disputed or ultimately unsuccessful.
25.4 No response-time promise. This Disclosure does not promise a particular investigation or support response time unless Textority expressly states one for a specific service.
26. RECORDS AND DISCLOSURE EVIDENCE
26.1 Records. Textority may retain records reasonably necessary to document the listing, Creator identity, Transaction Terms, seller and Supplier disclosures, price, currency, acceptance, order confirmation, receipt, payment status, transaction history, license disclosure, support, Refunds, disputes, verification, and legal compliance.
26.2 No universal record set. This Disclosure does not represent that Textority creates or retains every possible category of transaction or marketplace evidence for every Creator Offering.
26.3 Accuracy. Records used for a transaction, complaint, dispute, or legal process must not be fabricated, falsified, backdated, or materially altered. A later-generated report or export may summarize authentic underlying records but must not be misrepresented as an original contemporaneous record.
26.4 Retention. This Disclosure does not establish a universal numerical retention period. Retention is governed by the applicable privacy terms, operational needs, legal obligations, dispute requirements, and legitimate safety or compliance needs.
27. REGIONAL, STATUTORY, TAX, PROVIDER, AND NETWORK DIFFERENCES
27.1 Separate concepts. Contracting Seller, Merchant of Record, Supplier, marketplace, online marketplace, marketplace facilitator, payment facilitator, settlement merchant, sub-merchant, portal de contacto, Payment Provider, and tax seller are separate concepts and are not interchangeable.
27.2 Mandatory law. If a mandatory local law requires a different disclosure, seller-information practice, contact mechanism, or consumer protection, that law controls for the covered transaction.
27.3 Provider configuration. Payment-provider and acquiring classifications may differ from contractual or statutory classifications. Textority will not treat a provider label as conclusive outside the rule that creates it.
27.4 No enablement by mention. Mentioning a country, provider, legal classification, payment method, or feature in this Disclosure does not mean it is currently enabled or available.
27.5 No regulatory approval claim. Nothing in this Disclosure states or implies that a regulator, tax authority, Payment Provider, acquiring bank, or payment network has approved Textority’s business model or classified Textority or a Creator in a particular legal role.
28. CHANGES, DISPUTE RESOLUTION, AND CONTACT
28.1 Changes. Textority may update this Disclosure prospectively in accordance with the Terms of Service. A material change receives the notice or affirmative acceptance required by applicable law or the governing Textority terms.
28.2 Existing transactions. A change to this Disclosure does not retroactively reduce non-waivable rights or rewrite the material Transaction Terms of a completed purchase.
28.3 Dispute resolution. Section 29 of the Terms of Service governs legal disputes between Textority and persons bound by this Disclosure, including applicable arbitration provisions and exceptions. This Disclosure does not create a separate arbitration agreement or limitations period.
28.4 Contact. Questions about seller identity, Supplier identity, transaction disclosures, or marketplace-related records, and reports of impersonation or misleading identity, may be submitted to:
