TEXTORITY CREATOR PAYOUT TERMS

Last Updated: September 30, 2026

These Creator Payout Terms apply to payout, Creator Balance, settlement, reserve, hold, negative-balance, withholding, and related payout functionality made available through textority.com, text.me, text.to, lets.talk, the Textority web platform, and related online services operated by Textority Inc.

1. PURPOSE AND SCOPE

1.1 What these Creator Payout Terms govern. These Creator Payout Terms govern when and how an eligible Creator Balance may be paid, transferred, settled, or otherwise made available to a Creator, including payout eligibility, verification, payout destinations, payout methods, payout timing, settlement, thresholds, fees, currency conversion, failed or returned payouts, reserves, holds, negative balances, withholding, final payouts, and payout-related corrections.

1.2 Who these Terms apply to. These Creator Payout Terms apply to a Creator that enables paid Creator Offerings, has or may have a Creator Balance, provides payout information, becomes eligible for a Payout, receives or attempts to receive a Payout, or becomes subject to a payout-related adjustment, Reserve, Hold, negative balance, withholding, restriction, or final-balance process. They also apply to authorized Creator Team Members only within their assigned payout permissions.

1.3 What these Terms do not govern. Buyer checkout, buyer payment authorization, transaction pricing, seller roles, refunds, Payment Disputes, and transaction accounting are governed principally by the Terms of Service, Creator Terms, Payment Terms, Transaction Terms, and any more specific applicable Additional Terms. These Creator Payout Terms do not create a separate purchase transaction.

1.4 Architecture-neutral approach. Payout flows may differ by country, Creator, transaction type, Payment Provider, account configuration, and payment architecture. A Payout may be initiated, facilitated, executed, or settled by Textority, a Payment Provider, the Creator, or a combination of them depending on the applicable configuration. These Terms do not represent that Textority receives, holds, owns, or transmits Creator funds in every payment configuration.

1.5 No advice. These Terms describe contractual payout rules. They are not legal, tax, accounting, banking, investment, or financial advice.

2. RELATIONSHIP TO OTHER TEXTORITY TERMS

2.1 Additional Terms. These Creator Payout Terms are Additional Terms under the Textority Terms of Service (the “Terms of Service”). The Terms of Service continue to apply.

2.2 Creator Terms and Payment Terms. The Textority Creator Terms govern Creator-specific responsibilities. The Textority Payment Terms govern payment authorization, transaction accounting, fees, taxes, refunds, reversals, Payment Disputes, Creator Proceeds, Creator Balances, and related payment mechanics.

2.3 Subject-matter boundaries. These Creator Payout Terms control for their specific payout, payout-availability, payout-destination, Reserve, Hold, negative-balance, and final-payout subject matter. Another applicable Additional Term controls for its more specific subject matter.

2.4 Order of precedence. The order of precedence stated in the Terms of Service applies. Transaction Terms and provider terms govern transaction-specific or provider-specific facts to the extent they do not conflict with higher-priority Textority terms or mandatory law.

2.5 Mandatory law. Nothing in these Terms waives, restricts, or overrides a non-waivable right or obligation under applicable law.

2.6 Provider terms. A Payment Provider may require a Creator to accept separate provider terms. Those terms govern the provider’s services within their scope and may impose verification, account, balance, reserve, payout, or recovery requirements independently of Textority.

3. ACCEPTANCE AND ROLE-SPECIFIC APPLICATION

3.1 Acceptance. You accept these Creator Payout Terms when you take an affirmative action that Textority presents as acceptance, including enabling payout functionality, completing payout onboarding, providing or confirming a Payout Account, accepting payout permissions, or clicking or tapping an acceptance control presented with these Terms.

3.2 Passive receipt is not new acceptance. Receiving a Payout does not by itself constitute acceptance of a new version of these Terms.

3.3 Exercising a right is not new acceptance. Requesting support, reporting a payout error, challenging a Reserve, Hold, withholding, balance adjustment, or failed Payout, or exercising a legal or contractual right does not by itself constitute new acceptance and does not waive any right.

3.4 Entity Creators. If an individual accepts these Terms for an entity, the entity is the Creator for its commercial payout rights and obligations, and the individual represents that the individual has authority to bind it. Authorized acceptance alone does not make the individual personally entitled to the entity’s Creator Balance or personally liable for the entity’s ordinary payout obligations.

3.5 Creator Team Members. A Creator Team Member may act only within assigned payout permissions. Assigned access does not by itself make that person the Creator, payout recipient, owner of a Creator Balance, or person financially responsible for the Creator’s negative balances, refunds, Payment Disputes, fees, withholding, or payout obligations. Personal responsibility may arise from the team member’s own fraud, unauthorized activity, credential misuse, unlawful conduct, or another obligation expressly imposed on that individual.

4. DEFINITIONS

Capitalized terms not defined in these Creator Payout Terms have the meanings given in the Terms of Service, Creator Terms, Payment Terms, or other controlling Textority terms.

“Available Payout Amount” means the portion of a Creator Balance that is currently eligible for Payout after applicable settlement, verification, provider, Reserve, Hold, threshold, refund, reversal, Payment Dispute, tax, withholding, negative-balance, legal, and other payout conditions have been applied. An Available Payout Amount may change before a Payout is completed if a valid adjustment occurs.

“Hold” means a temporary restriction on the availability or payout of some or all of a Creator Balance based on a specific payment, verification, compliance, fraud, legal, provider, security, or comparable risk or requirement.

“Payout” means a transfer, disbursement, withdrawal, settlement, or comparable movement of an Available Payout Amount to a supported Payout Account through an enabled payout flow. Initiating or approving a Payout does not mean that the recipient’s financial institution has received or credited the funds.

“Payout Account” means a bank account, debit card, payment account, or other payout destination that is actually supported for a Creator and accepted by the applicable Payment Provider.

“Payout Method” means the supported method or rail used to send a Payout to a Payout Account.

“Reserve” means an amount of a Creator Balance whose availability is temporarily restricted to address reasonably anticipated payment obligations or risks, including refunds, reversals, Payment Disputes, chargebacks, fraud, settlement, provider requirements, or comparable exposure. A Reserve is not itself a fee or forfeiture.

“Returned Payout” means a Payout that was initiated but was rejected, reversed, returned, or otherwise not completed by a Payment Provider, bank, payout network, or other financial institution.

5. PAYOUT ARCHITECTURE AND PAYMENT PROVIDERS

5.1 Provider-dependent flows. Payout architecture may differ materially depending on whether transactions are processed on a Textority account, a Creator-connected account, another provider configuration, or another approved payment structure.

5.2 Provider control. A Payment Provider or financial institution may independently determine onboarding eligibility, settlement timing, Payout Method availability, Payout Account requirements, payout schedules, payout eligibility, reserves, negative-balance treatment, verification, or account restrictions under its own rules.

5.3 Provider relationship. Where a Creator is required to maintain a provider account or connected account, the Creator must comply with the applicable provider agreement. Textority does not guarantee provider approval, continued provider eligibility, or availability of a specific provider feature.

5.4 No provider approval claim. The availability of a Payment Provider in the Services does not mean that the provider has approved every Creator, category, country, transaction type, cross-border corridor, or Textority payment configuration.

5.5 No universal custody or settlement conclusion. These Terms do not state that Creator Proceeds are legally held by Textority, held for the Creator, held in trust, or owned by either party before payout. The applicable payment architecture, provider terms, and law determine those questions.

6. CREATOR PAYOUT ELIGIBILITY

6.1 Adult-only payout role. A payout recipient and any individual with payout-administration authority must be at least 18 years old, or the age of majority where that person resides if higher.

6.2 Creator status. The recipient must be the Creator or another recipient expressly approved under the applicable payout configuration. A Creator Team Member does not become a payout recipient merely because that person has administrative access.

6.3 Continuing eligibility. Payout eligibility may depend on accurate account information, completed verification, supported country and currency, supported Payout Method, provider approval, tax documentation, compliance with Textority terms, settlement status, absence of applicable legal restrictions, and satisfaction of other conditions disclosed before they apply.

6.4 No guaranteed country or method. Technical access to Textority from a country does not mean that Creator payouts are enabled there. A Payout Method shown for one Creator or transaction may not be available for another.

6.5 Restricted activity. Payouts may be unavailable or restricted for activity prohibited or not approved under the Prohibited Products and Services Policy, provider rules, sanctions law, or applicable law.

7. VERIFICATION AND RE-VERIFICATION

7.1 Verification. Before a Payout is enabled, and at other times reasonably necessary, Textority or a Payment Provider may require identity, business, beneficial-ownership, control-person, Payout Account, tax, sanctions, professional, category, or other verification related to payout eligibility or legal compliance.

7.2 Information and documents. Verification may require government identification, business records, ownership or control information, tax identification information, proof of Payout Account ownership or authorization, professional credentials where relevant, and other information reasonably requested by Textority or the Payment Provider.

7.3 Re-verification. Re-verification may be required after a change in legal name, entity form, ownership, control, country, address, tax status, Payout Account, business category, risk profile, provider requirements, or applicable law.

7.4 Pending verification. A Creator Balance or Payout may be subject to a Hold or delayed availability while required verification is incomplete or under review. A verification Hold is not itself a fee, penalty, or forfeiture.

7.5 Verification is limited. Completing verification does not guarantee a Payout, a particular schedule, a particular Payout Method, continued provider access, or future eligibility.

8. SUPPORTED COUNTRIES, CURRENCIES, AND PAYOUT METHODS

8.1 Current configuration controls. Supported payout countries, Payout Methods, Payout Accounts, and payout currencies are those actually enabled for the Creator through the Services or applicable Payment Provider at the relevant time.

8.2 United States and Colombia. Textority’s initial launch focus includes the United States and Colombia, but this statement does not itself enable a payout corridor, currency, Payment Provider configuration, or Payout Method in either country.

8.3 Colombia. A Colombia payout flow may depend on the Wompi product and configuration actually contracted and activated, applicable banking or payout rails, tax documentation, and any exchange-control or other legal requirements. These Terms do not represent that Wompi payment acceptance automatically enables creator payouts or third-party disbursements.

8.4 Cross-border payouts. Cross-border Payouts may be unavailable or subject to additional verification, tax, provider, foreign-exchange, sanctions, or banking requirements. Textority does not guarantee any particular cross-border corridor.

8.5 Changes. Textority or a Payment Provider may add, remove, or restrict a country, currency, Payout Method, or provider configuration prospectively, subject to applicable law and any binding notice requirement.

9. PAYOUT ACCOUNTS AND RECIPIENT INFORMATION

9.1 Supported destination. A Creator must provide a valid Payout Account that is supported by the applicable Payment Provider and permitted under the applicable payout architecture.

9.2 Recipient identity. Textority or a Payment Provider may require the Payout Account to be held in the Creator’s legal name or in the name of an approved recipient associated with the Creator, and may require evidence of ownership, authority, or beneficial entitlement.

9.3 Third-party accounts. Textority does not represent that unrelated third-party Payout Accounts, nominee accounts, split payouts, multiple-beneficiary arrangements, revenue-sharing instructions, factoring arrangements, or assignments of payout rights are supported. Any such arrangement requires express support and any verification, provider approval, tax review, and legal review that applies.

9.4 Accurate information. The Creator is responsible for providing accurate payout instructions and for promptly updating information that changes. Textority is not responsible for a delay or failure caused by inaccurate Creator-provided payout information except to the extent applicable law provides otherwise.

9.5 Bank and provider requirements. A bank or Payment Provider may reject a Payout because of name mismatch, account restrictions, unsupported currency, closed account, compliance review, local banking rules, or other provider requirements.

10. CHANGES TO PAYOUT INSTRUCTIONS AND SECURITY

10.1 Changes may require verification. Adding or changing a Payout Account, payout recipient, bank details, country, ownership information, or other sensitive payout information may require re-verification.

10.2 Protective Hold. Textority or a Payment Provider may temporarily restrict Payouts after a material payout-information change where reasonably necessary to reduce account-takeover, fraud, misdirection, or compliance risk.

10.3 No fixed security-hold period. These Terms do not state a universal number of days for a payout-change Hold. Any Hold must be reasonably related to the risk or provider requirement that supports it.

10.4 Account security. Creators must protect credentials, payout permissions, devices, and authentication methods and must promptly report suspected unauthorized access or an unauthorized payout-information change through the reporting route in Section 29.

10.5 Authorized team actions. A Creator is responsible for payout changes made by authorized Creator Team Members within their assigned permissions or through access the Creator provided or failed to revoke when reasonably required, subject to the Creator Terms.

11. CREATOR PROCEEDS AND CREATOR BALANCES

11.1 Payment Terms control accounting. Creator Proceeds and Creator Balance are calculated and recorded under the Payment Terms and applicable Transaction Terms.

11.2 Creator Balance is not automatically available. A displayed Creator Balance may include pending, unsettled, reserved, held, disputed, withheld, or otherwise unavailable amounts. A displayed balance is not necessarily immediately payable.

11.3 Adjustments. A Creator Balance may be adjusted only as authorized by applicable terms or law, including for disclosed fees, Payment Processing Costs, taxes, withholding, refunds, reversals, Payment Disputes, chargebacks, provider corrections, currency conversion, payout costs, negative balances, or other valid adjustments.

11.4 No double deductions. The same fee, tax, refund, dispute amount, or adjustment may not be deducted twice for the same purpose.

11.5 No interest promise. A Creator Balance does not earn interest merely because it remains displayed, pending, reserved, held, or unpaid, except to the extent applicable law expressly requires otherwise.

12. AVAILABLE PAYOUT AMOUNT

12.1 Eligibility for Payout. An amount becomes part of the Available Payout Amount only when the conditions applicable to that amount have been satisfied.

12.2 Relevant conditions. Availability may depend on payment settlement, expiration of provider settlement delays, delivery or performance risk where applicable, verification, tax documentation, Reserve or Hold status, refund and Payment Dispute exposure, minimum threshold, sanctions review, provider restrictions, and other conditions disclosed under these Terms or provider terms.

12.3 Pending transactions. A successful buyer authorization or charge does not necessarily mean the related Creator Proceeds are immediately settled or available for Payout.

12.4 Later valid adjustments. A Payout that has not yet completed may be reduced, delayed, or cancelled if a valid refund, reversal, Payment Dispute, provider adjustment, sanctions restriction, tax withholding, or other authorized adjustment occurs before completion.

12.5 No forfeiture from delay alone. Delayed availability, a Reserve, or a Hold does not by itself cause the affected amount to become Textority revenue or otherwise be forfeited.

13. PAYOUT SCHEDULES, INITIATION, AND RECEIPT

13.1 No universal payout day. These Terms do not promise a Friday payout, weekly payout, monthly payout, daily payout, instant payout, on-demand withdrawal, or any other universal payout schedule.

13.2 Applicable schedule. A payout schedule, if any, is the schedule displayed for the Creator or stated in applicable Transaction Terms, Pricing Information, provider settings, or another binding disclosure. A Payment Provider may control or limit the schedule in some configurations.

13.3 Automatic and manual Payouts. Payouts may be automatic, Creator-initiated, Textority-initiated, provider-initiated, or unavailable for manual initiation depending on the actual payout configuration. The existence of one option for one Creator does not promise it for another.

13.4 Initiation is not receipt. Payout initiation does not guarantee same-day, next-day, or any other bank-receipt time. A Payment Provider, payout network, bank, or other financial institution may impose additional processing time.

13.5 Holidays and interruptions. Weekends, banking holidays, provider outages, banking interruptions, compliance reviews, or other events outside Textority’s reasonable control may delay completion.

13.6 Status information. Where the Services or Payment Provider displays a payout status or estimated arrival time, that information may change based on provider or bank processing and is not a guaranteed receipt time unless expressly stated otherwise.

14. MINIMUM THRESHOLDS, PAYOUT FEES, AND THIRD-PARTY CHARGES

14.1 Minimum threshold. A minimum payout threshold may apply only if disclosed before it applies through the Creator account, Pricing Information, provider terms, or another applicable disclosure.

14.2 Below-threshold amounts. An amount below an applicable threshold remains part of the Creator Balance, subject to other valid adjustments, and is not forfeited merely because the threshold has not yet been reached.

14.3 Payout fees. A Textority payout-related fee may be charged only if disclosed before it applies. A Payment Provider, bank, intermediary bank, payout network, or other third party may separately impose charges under its own terms.

14.4 No universal amount. These Terms do not state a universal threshold, payout fee, wire fee, currency-conversion markup, or other payout amount.

14.5 Final-balance treatment. A final Creator Balance that is below an ordinary threshold is handled under Section 23 and is not automatically forfeited because of the threshold.

15. PAYOUT CURRENCIES AND CURRENCY CONVERSION

15.1 Supported currencies. A Payout may be available only in currencies supported by the applicable Payment Provider, Payout Method, Payout Account, and country configuration.

15.2 Conversion. Where currency conversion is required, the applicable exchange rate, conversion spread, fee, or provider methodology may be determined by the Payment Provider, financial institution, card or payout network, or another party identified in the applicable terms.

15.3 Disclosure. A Textority-imposed currency conversion charge will be disclosed before it applies. Textority does not control a third party’s exchange rate or fee unless Textority expressly states otherwise.

15.4 No exchange-rate guarantee. Textority does not guarantee a particular exchange rate, converted amount, or timing of conversion.

16. PAYOUT RECORDS AND ACCOUNT INFORMATION

16.1 Records. Textority may maintain records of Creator Balances, payout eligibility, Payouts, fees, deductions, Reserves, Holds, negative balances, corrections, and related payout activity where Textority administers or receives that information.

16.2 Provider records. A Payment Provider may maintain separate or controlling provider records for activity processed through that provider.

16.3 Creator review. Creators should review payout and balance information made available through the Services or Payment Provider and promptly report a suspected error.

16.4 Records are not bank statements. A Creator Balance, payout history, or platform ledger is an accounting record for the Services and is not a bank statement, deposit statement, or custodial-account statement.

16.5 Evidence. Textority may use payout records, provider records, transaction records, verification records, and communications to investigate an error, dispute, fraud concern, or account issue.

17. FAILED, REJECTED, RETURNED, OR REVERSED PAYOUTS

17.1 Possible failure. A Payout may fail, be rejected, be returned, or be reversed because of incorrect account details, name mismatch, closed or restricted accounts, unsupported currency or country, provider rules, bank rules, sanctions, fraud controls, technical errors, or other reasons.

17.2 Returned amounts. Where a Returned Payout is credited back to a balance controlled or administered through the applicable payout configuration, the amount may be restored to the Creator Balance after any valid third-party fees, conversion effects, or other adjustments that the applicable terms permit.

17.3 Correction required. Textority or the Payment Provider may require updated payout information or additional verification before another Payout is attempted.

17.4 No universal retry schedule. These Terms do not promise automatic retries, a particular number of retries, or a fixed retry period.

17.5 Duplicate or erroneous Payouts. A duplicate or erroneous Payout does not create an entitlement to retain funds not validly owed. Recovery is subject to Section 19, provider rights, and applicable law.

18. RESERVES, HOLDS, AND DELAYED AVAILABILITY

18.1 When they may be used. Textority or a Payment Provider may impose a reasonable Reserve, Hold, delayed-availability period, or comparable payment-risk control where authorized by applicable terms and reasonably related to refunds, reversals, Payment Disputes, chargebacks, settlement, fraud, delivery or performance risk, verification, provider requirements, sanctions, legal obligations, account security, or comparable payout risk.

18.2 Scope. A Reserve or Hold may apply to a specific transaction, amount, Payout, category of transactions, or Creator Balance only to the extent reasonably supported by the applicable risk, provider requirement, or legal obligation.

18.3 Form. If supported by the payment architecture, a Reserve may be structured as a fixed amount, percentage, rolling amount, delayed-availability rule, or another disclosed risk-control method. These Terms do not state a reserve percentage or duration.

18.4 Notice. Where reasonably practicable, Textority will provide information about a Textority-imposed Reserve or Hold and the general basis for it. Advance notice is not guaranteed where immediate action is reasonably necessary for fraud prevention, sanctions, account security, provider requirements, legal compliance, or another material risk.

18.5 Review and release. A Textority-imposed Reserve or Hold may be reviewed as circumstances change and should be released when the basis for the restriction no longer reasonably requires it, subject to outstanding valid obligations and provider or legal restrictions.

18.6 Application. An amount subject to a Reserve or Hold may be applied to a valid refund, reversal, Payment Dispute, chargeback, fee, tax, withholding, negative balance, provider adjustment, or other properly allocated obligation where permitted by applicable terms and law.

18.7 Provider reserves. A Payment Provider may impose its own reserve or balance restrictions independently under provider terms. Textority may have limited or no ability to change a provider-imposed restriction.

19. NEGATIVE BALANCES, OFFSETS, AND RECOVERY

19.1 Negative balance. A negative Creator Balance may arise where refunds, reversals, Payment Disputes, chargebacks, provider charges, fees, taxes, withholding, corrections, or other properly allocated obligations exceed amounts otherwise credited or payable to the Creator.

19.2 Responsible party depends on architecture. Responsibility for a negative balance may be owed to Textority, a Payment Provider, or another party depending on the transaction and provider configuration. These Terms do not assign every negative balance to Textority.

19.3 Offsets. Where permitted by applicable terms and law, a valid amount owed by a Creator may be offset against current or future amounts otherwise payable to that Creator by the party entitled to the offset.

19.4 Separate debit authorization. A Payout Account, bank account, card, or other payment method may be debited to recover a negative balance only where the debit is separately authorized as required, supported by the applicable Payment Provider, and permitted by law.

19.5 No blanket debit authority. These Creator Payout Terms do not create a blanket authorization to debit any account or payment method for every alleged obligation.

19.6 Collection. A valid unpaid amount may be pursued through lawful collection methods consistent with applicable terms and law. Collection costs may be recovered only where legally and contractually recoverable.

19.7 Provider rights. A Payment Provider may have independent rights to debit, reserve, offset, recover, or require funding under provider terms accepted by the Creator or applicable to the payment configuration.

20. TAX INFORMATION, REPORTING, AND WITHHOLDING

20.1 Creator responsibility. A Creator is responsible for income, payroll, business, professional, and other taxes imposed directly on the Creator or Creator business unless applicable law provides otherwise.

20.2 Tax documentation. Textority or a Payment Provider may require tax identification information and forms reasonably necessary for reporting, withholding, provider onboarding, or payout eligibility, including a U.S. Form W-9, an applicable Form W-8 series form, or a local equivalent where applicable.

20.3 Information reporting. Textority or a Payment Provider may issue or file tax information returns, statements, or similar reports where the applicable law and payment architecture make that party responsible. These Terms do not designate Textority as the tax-reporting party for every Creator or payment flow.

20.4 Withholding. Textority or a Payment Provider may withhold from amounts otherwise payable where required by applicable tax law or properly authorized by the applicable payment structure. Withholding is separate from buyer-facing Transaction Taxes.

20.5 Backup withholding. Where U.S. backup withholding law applies to a reportable payment, the legally responsible payer may be required to withhold because of missing, incorrect, or otherwise deficient taxpayer information or another statutory trigger.

20.6 Colombia. Colombian tax withholding, reporting, invoicing, foreign-exchange, and related obligations depend on the parties, residence, source and characterization of income, payout route, provider configuration, and other facts. These Terms do not state a universal Colombian withholding rate or tax treatment.

20.7 No tax advice. A tax form, withholding amount, or provider classification does not constitute tax advice to the Creator.

21.1 Sanctions. A Payout may be blocked, rejected, delayed, restricted, or prohibited where required by applicable sanctions law or by a Payment Provider acting under sanctions obligations or provider rules.

21.2 Legal process. Textority or a Payment Provider may restrict or preserve funds, records, or payout activity as required by a court order, government demand, garnishment, levy, seizure order, preservation request, insolvency process, or other legally binding process.

21.3 Compliance review. Payouts may be restricted while Textority or a Payment Provider reasonably investigates suspected fraud, account compromise, prohibited activity, identity mismatch, sanctions concerns, money-laundering risk, payment abuse, or another material compliance issue.

21.4 Cooperation. The Creator must provide information reasonably requested to resolve a payout-related compliance review, subject to applicable law.

21.5 No promise to disclose restricted information. Textority may be legally or contractually restricted from disclosing certain sanctions, law-enforcement, fraud, security, or provider information.

22. OWNERSHIP, CONTROL, ENTITY, AND RECIPIENT CHANGES

22.1 Material changes. A change in Creator ownership, control, legal form, legal name, country, tax status, beneficial owners, payout recipient, or Payout Account may require re-verification and may temporarily affect payout eligibility.

22.2 No automatic transfer of payout rights. Payout rights do not automatically transfer with a sale, assignment, team-member change, or account handoff. A permitted transfer of a Channel or Creator account remains subject to the Terms of Service, Creator Terms, provider requirements, verification, and applicable law.

22.3 Existing obligations remain. A change in ownership, entity, or payout recipient does not automatically eliminate outstanding refunds, Payment Disputes, negative balances, Reserves, Holds, taxes, withholding, buyer obligations, or other valid liabilities.

22.4 New payout destination. A new Payout Account or new provider onboarding may be required after a permitted ownership, entity, or recipient change.

23. SUSPENSION, TERMINATION, AND FINAL CREATOR BALANCES

23.1 Payout restriction. Textority may restrict or suspend payout functionality where reasonably necessary and permitted by the Terms of Service, Creator Terms, Payment Terms, these Terms, provider requirements, or law.

23.2 Grounds. Grounds may include incomplete verification, prohibited activity, fraud, account compromise, sanctions, legal process, material breach, provider restriction, high refund or Payment Dispute exposure, negative balances, tax documentation issues, or another material payment or compliance risk.

23.3 Scope. Where appropriate, Textority may limit action to a specific Payout, Payout Method, or payout feature instead of suspending the entire Creator account.

23.4 No automatic forfeiture. Suspension or termination does not by itself cause Creator Proceeds validly attributable to the Creator to be forfeited.

23.5 No acceleration. Termination does not make pending, unsettled, reserved, held, disputed, restricted, or otherwise unavailable amounts immediately payable.

23.6 Final-balance conditions. A final Payout remains subject to verification, valid fees and adjustments, refunds, reversals, Payment Disputes, chargebacks, Reserves, Holds, taxes, withholding, negative balances, provider restrictions, sanctions, legal process, and unclaimed-property law.

23.7 No universal final-payout period. These Terms do not promise a specific number of days for a final Payout.

23.8 Below-threshold final balance. An ordinary minimum payout threshold does not by itself forfeit a final positive Creator Balance. Textority will handle a final balance according to available payout methods, applicable provider requirements, these Terms, and unclaimed-property law.

24. DEATH, INCAPACITY, DISSOLUTION, INSOLVENCY, AND SUCCESSION

24.1 Individual Creator. If an individual Creator dies or becomes legally incapacitated, Textority may require documentation reasonably necessary to identify an authorized estate representative, guardian, conservator, or other legally authorized person before changing payout instructions or releasing an eligible balance.

24.2 Entity Creator. If an entity Creator is dissolved, liquidated, reorganized, becomes insolvent, or enters bankruptcy, receivership, or a comparable process, Textority may require corporate, court, insolvency, banking, and tax documentation necessary to determine the legally authorized recipient and any applicable restrictions.

24.3 Temporary Hold. A Hold may be applied while authority, entitlement, competing claims, sanctions, tax, or provider requirements are being resolved. That Hold is not itself a forfeiture.

24.4 Competing claims. Textority may delay payment where reasonably necessary to resolve competing claims and may require a court order or other legally sufficient evidence before releasing funds.

24.5 No automatic entitlement. A Creator Team Member, employee, contractor, family member, shareholder, officer, or individual who accepted these Terms for an entity does not automatically acquire a right to the Creator Balance solely because of that relationship.

25. UNCLAIMED CREATOR BALANCES

25.1 Applicable law controls. Unclaimed Creator Balances are subject to applicable unclaimed-property, abandoned-property, escheat, and similar laws.

25.2 Holder depends on architecture. Depending on the payout and provider configuration, Textority, a Payment Provider, or another party may be the legally responsible holder for unclaimed-property purposes. These Terms do not designate Textority as the holder in every configuration.

25.3 Contact and due diligence. Where Textority is the legally responsible holder, Textority may use the Creator’s contact information to provide notices or conduct due diligence required by applicable law before reporting or remitting unclaimed property.

25.4 Reporting and remittance. Where required by applicable law, a legally responsible holder may report and remit unclaimed property to the appropriate government authority.

25.5 After remittance. If an amount has been lawfully remitted to a government authority, recovery of that amount may need to be requested from that authority rather than Textority.

25.6 No forfeiture to Textority. An amount does not become Textority revenue merely because the Creator has not claimed or successfully received it.

26. PAYOUT ERRORS, CORRECTIONS, AND INQUIRIES

26.1 Types of issues. Payout issues may include a missing, duplicate, failed, returned, reversed, misdirected, or incorrect Payout; an incorrect fee, withholding, conversion, Reserve, Hold, release, negative balance, or balance adjustment; or a provider correction.

26.2 Reporting. A Creator should report a suspected payout issue promptly using the route in Section 29 and provide information reasonably necessary to investigate it. Prompt reporting does not waive a longer statutory period or non-waivable right.

26.3 Corrections. Textority may correct a documented system, accounting, or payout error within the scope Textority controls. A Payment Provider may separately correct provider-side errors under provider procedures.

26.4 Recovery of overpayment. Correcting an erroneous overpayment or duplicate Payout may include a balance adjustment, offset, transfer reversal, or other recovery method authorized by applicable terms, provider rules, and law.

26.5 No provider-outcome guarantee. Textority cannot guarantee that a bank or Payment Provider will reverse, trace, recover, or reissue a Payout where that process is controlled by the third party.

27. NO BANK, ESCROW, CUSTODY, STORED-VALUE, OR INVESTMENT ACCOUNT

27.1 No deposit account. A Creator Balance displayed in the Services is not a bank deposit account and does not by itself create deposit insurance, a bank-account relationship, or a right to interest.

27.2 No escrow or custody promise. Unless Textority expressly offers a separately approved product under separate terms, the Services are not offered as escrow, custody, client trust, fiduciary-funds, or stored-value services.

27.3 Regulatory classifications depend on facts. These Terms do not state that Textority is or is not a money transmitter, payment facilitator, agent of payee, financial institution, custodian, escrow provider, or other regulated payment entity under any particular law. Any such classification depends on the actual payment and payout architecture and applicable law.

27.4 No investment feature. A Creator Balance is not an investment product and Textority does not offer a return, yield, or investment service on a Creator Balance.

28. CHANGES AND DISPUTE RESOLUTION

28.1 Changes. Textority may update these Creator Payout Terms prospectively in accordance with the Terms of Service.

28.2 Material changes. Material changes receive the notice or affirmative acceptance required by the Terms of Service or applicable law.

28.3 No retroactive forfeiture. A change to these Terms does not retroactively forfeit a Creator Balance or create a new fee for a completed Payout except where applicable law or a binding term permits the change.

28.4 Provider or legal changes. Textority may make a change effective on a shorter timeline where reasonably necessary to comply with law, sanctions, Payment Provider requirements, payment-network rules, fraud prevention, or security obligations, subject to any mandatory notice requirement.

28.5 Legal disputes. Section 29 of the Terms of Service governs legal disputes between a Creator and Textority, including the arbitration agreement, class action waiver, jury trial waiver, arbitration opt-out, and applicable exceptions.

28.6 Provider disputes. A dispute about a Payment Provider’s independent service, provider account, or provider-imposed restriction may also be subject to the provider’s agreement and procedures.
