TEXTORITY PAYMENT TERMS

Last Updated: September 30, 2026

These Payment Terms apply to payment, billing, fee, refund, reversal, dispute, balance, and related commerce functionality made available through textority.com, text.me, text.to, lets.talk, the Textority web platform, and related online services operated by Textority Inc.

1. PURPOSE AND SCOPE

1.1 What these Payment Terms govern. These Payment Terms govern payment-related use of the Services, including purchases of Textority plans, paid Creator Offerings, payment authorization, supported Payment Methods, recurring charges, fees, transaction accounting, taxes, refunds, reversals, Payment Disputes, payment errors, Creator balances, and payment-related restrictions.

1.2 Who these Payment Terms apply to. These Payment Terms apply to a User who purchases a Textority plan, purchases a paid Creator Offering, provides or authorizes a Payment Method, enables Creator selling, incurs or receives a payment-related adjustment, administers payment functionality within authorized permissions, or otherwise participates in a transaction governed by these Payment Terms.

1.3 What these Payment Terms do not comprehensively govern. Detailed payout mechanics are governed by the Creator Payout Terms. Detailed refund eligibility and cancellation treatment are governed by the Refund and Cancellation Policy. Detailed subscription and automatic-renewal mechanics are governed by the Subscription and Auto-Renewal Terms. Detailed chargeback and Payment Dispute procedures are governed by the Chargeback and Payment Dispute Policy. Detailed Digital Content delivery and access rules are governed by the Digital Content Delivery and Access Policy. Category eligibility is governed by the Prohibited Products and Services Policy.

1.4 No unsupported payment role. These Payment Terms do not designate Textority as merchant of record, payment facilitator, money transmitter, contracting seller, agent, reseller, marketplace facilitator, settlement merchant, or another regulated or commercial role for every Creator Offering transaction. The applicable transaction structure, provider configuration, Transaction Terms, and law determine the roles that apply to a particular transaction.

1.5 No advice. These Payment Terms describe contractual payment rules. They are not legal, tax, accounting, banking, or financial advice.

2. RELATIONSHIP TO OTHER TEXTORITY TERMS

2.1 Additional Terms. These Payment Terms are Additional Terms under the Textority Terms of Service (the “Terms of Service”). The Terms of Service continue to apply.

2.2 Creator Terms. The Textority Creator Terms apply to Creators and to Creator Team Members to the extent stated in those terms.

2.3 Subject-matter boundaries. These Payment Terms control for their specific payment, billing, fee, transaction-accounting, and payment-adjustment subject matter. Another applicable Additional Term controls for its more specific subject matter.

2.4 Order of precedence. The order of precedence stated in the Terms of Service applies. Transaction Terms govern transaction-specific facts and terms to the extent they do not conflict with higher-priority terms or mandatory law.

2.5 Mandatory law. Nothing in these Payment Terms waives, restricts, or overrides a non-waivable right or obligation under applicable law.

2.6 Unpublished or inapplicable terms. A referenced Additional Term applies only when it has been made available and identified as applicable in accordance with the Terms of Service. A later-published term does not retroactively change a completed transaction unless applicable law or a binding term permits that change.

3. ACCEPTANCE AND ROLE-SPECIFIC APPLICATION

3.1 Acceptance. You accept these Payment Terms when you take an affirmative action that Textority presents as acceptance, including purchasing a Textority plan, completing a paid checkout, enabling Creator selling or payment functionality, completing payment onboarding, enrolling in a recurring charge, or clicking or tapping an acceptance control presented with these Payment Terms.

3.2 Passive browsing. Passive browsing alone does not authorize a payment, recurring charge, Creator selling obligation, or debit.

3.3 Exercising a right is not new acceptance. Requesting support, reporting an unauthorized charge, seeking a refund, cancelling a subscription, submitting a Payment Dispute, disputing a fee or balance adjustment, or exercising a consumer or payment right does not by itself constitute new acceptance of these Payment Terms and does not waive any right.

3.4 Entity accounts. If an individual accepts these Payment Terms for an entity, the entity is the contracting party for its commercial obligations and the individual represents that the individual has authority to bind it. Authorized acceptance alone does not make that individual personally liable for the entity’s ordinary payment obligations.

3.5 Creator Team Members. A Creator Team Member may act only within assigned payment permissions. Assigned access does not by itself make the Creator Team Member the Creator, seller, payment recipient, payout recipient, or person financially responsible for the Creator’s fees, refunds, chargebacks, negative balances, taxes, or payout obligations. Personal responsibility may arise from the team member’s own fraud, unauthorized activity, credential misuse, unlawful conduct, or other obligations expressly imposed on that individual.

4. DEFINITIONS

Capitalized terms not defined in these Payment Terms have the meanings given in the Terms of Service or other controlling Textority terms.

“Creator Balance” means an accounting amount displayed or recorded for a Creator in connection with transactions. A Creator Balance is subject to settlement, adjustments, reserves, holds, refunds, reversals, Payment Disputes, taxes, withholding, fees, negative balances, and payout eligibility. It is not necessarily an amount immediately payable.

“Creator Proceeds” means the amount attributable to a Creator under the applicable transaction structure after the fees, taxes, withholding, refunds, reversals, disputes, provider charges, and other adjustments properly allocated to the Creator under the applicable terms and law. The term does not determine merchant-of-record status, ownership of funds before settlement, or a regulated payment classification.

“Payment Dispute” means a formal challenge to a transaction through a card issuer, bank, payment provider, payment network, or other Payment Method process, including a chargeback or comparable dispute process.

“Payment Method” means a card, bank-based method, digital wallet, alternative payment method, or other payment instrument or method that is actually enabled and displayed for a transaction.

“Payment Processing Costs” means third-party fees or costs associated with processing, settlement, payment methods, refunds, disputes, currency conversion, or similar payment activity, to the extent those costs are allocated to a User under the applicable terms.

“Payment Provider” means a third party that provides payment processing, acquiring, payment-method access, verification, fraud screening, tokenization, settlement, dispute, refund, payout, or related financial technology or services.

“Pricing Information” means the pricing, fee, or charge information displayed by Textority in the Services, on a pricing page, in an order or enrollment flow, in a Creator account, or in another disclosure identified as applicable before the charge or fee applies.

“Textority Fee” means a plan fee, platform fee, transaction fee, feature fee, payment-related fee, payout-related fee, or other amount charged by Textority and disclosed before it applies.

“Transaction Taxes” means sales, use, value-added, consumption, digital-services, or similar transaction-based taxes, duties, or governmental charges imposed in connection with a purchase. Transaction Taxes do not include income taxes or other taxes imposed directly on a User or the User’s business.

5. TRANSACTION ARCHITECTURE AND COMMERCIAL ROLES

5.1 Textority plans. Textority is the seller of Textority plans and other products or services that Textority expressly identifies as its own.

5.2 Creator Offerings. A Creator is the substantive provider of its Creator Offering unless Textority expressly identifies itself as the substantive provider. The Creator remains responsible for the Creator Content, description, claims, legality, fulfillment, delivery, performance, support, professional conduct, and other Creator obligations allocated by the Terms of Service and Creator Terms.

5.3 Transaction-specific roles. For a paid Creator Offering, the applicable checkout, Transaction Terms, order confirmation, receipt, provider configuration, and applicable law determine material commercial and payment roles, including who is the contracting seller, merchant of record, settlement merchant, payment recipient, supplier, or other legally relevant participant.

5.4 No role inferred from technology alone. The fact that Textority provides a checkout interface, API integration, payment link, transaction record, customer support route, statement descriptor, balance display, refund workflow, or payout workflow does not by itself determine a contractual, tax, network, or regulatory classification.

5.5 External classifications. A contractual label does not override a statutory, tax, payment-network, acquiring-bank, or Payment Provider classification whose elements are actually met.

5.6 Provider configuration can change responsibility. Payment-provider configurations may allocate processing fees, negative balances, refunds, chargebacks, settlement, onboarding, verification, and other responsibilities differently. These Payment Terms apply according to the configuration actually enabled for the transaction.

5.7 Transaction disclosure. Where a role is material to the buyer or Creator, Textority will use reasonable transaction disclosures to identify the applicable role or direct the User to the governing Transaction Terms. No disclosure is intended to misstate a role imposed by mandatory law.

6. PAYMENT PROVIDERS AND PROVIDER TERMS

6.1 Use of Payment Providers. Textority may use one or more Payment Providers for payment acceptance, tokenization, fraud screening, authentication, identity or business verification, refunds, disputes, settlement, payouts, sanctions screening, tax support, or related functionality.

6.2 Provider terms. A Payment Provider’s terms may apply directly to a User where those terms are separately presented, incorporated through an authorized onboarding flow, or otherwise validly accepted. A User must comply with provider terms that lawfully apply to that User.

6.3 Connected or merchant accounts. Where a payment configuration requires a Creator or another party to establish or connect a payment-provider account, that party must complete the required onboarding and provide accurate information. Textority may facilitate onboarding but does not guarantee approval or continued access.

6.4 Provider decisions. A Payment Provider, issuer, acquiring institution, or payment network may decline, delay, authenticate, review, reserve, hold, reverse, limit, or terminate payment activity under its own rules. Textority does not control those independent decisions.

6.5 No provider approval representation. The availability of a Payment Provider, account, Payment Method, technical integration, or prior successful transaction does not mean that the provider has approved every Creator, category, country, currency, transaction type, or payment structure.

6.6 Provider terms do not eliminate Textority obligations. A provider requirement does not excuse Textority from an obligation that applicable law or a binding Textority term independently imposes on Textority.

7. SUPPORTED COUNTRIES, CURRENCIES, AND PAYMENT METHODS

7.1 Availability. Payment functionality is available only in countries, currencies, transaction types, and provider configurations that Textority has actually enabled.

7.2 Checkout controls. Supported Payment Methods are displayed in the applicable checkout or payment flow. A Payment Method available for one transaction may not be available for another.

7.3 Provider and issuer approval. Displaying a Payment Method does not guarantee that a provider, issuer, bank, or network will approve a charge.

7.4 Prohibited payment products. A Payment Method or transaction may not be used to facilitate activity prohibited by the Prohibited Products and Services Policy. Cryptocurrencies, transferable stored value, gift-card or prepaid-value products, and other payment products classified as prohibited at launch are not enabled merely because a technical provider can process them.

7.5 Changes. Textority may add, remove, or restrict Payment Methods or currencies prospectively based on provider availability, law, fraud risk, sanctions, operational readiness, or other legitimate payment considerations.

8. PAYMENT AUTHORIZATION

8.1 Authority to use a Payment Method. By providing or confirming a Payment Method, you represent that you are authorized to use it and that the billing information you provide is accurate.

8.2 Scope of authorization. You authorize the charge or charges clearly disclosed before authorization, including applicable Transaction Taxes and recurring charges that you separately authorize. An authorization is limited to the disclosed amount or method for determining the amount, the disclosed payment schedule where recurring, and other charges properly disclosed before authorization.

8.3 No unlimited authorization. These Payment Terms do not create an unlimited authorization to charge a Payment Method, debit a bank account, or recover any amount Textority claims may be owed.

8.4 Authentication and verification. A provider or issuer may require additional authentication, verification, fraud screening, or authorization steps. A transaction is not complete merely because a payment attempt was submitted.

8.5 Prohibited payment use. You may not use a stolen or unauthorized Payment Method, engage in transaction laundering, manufacture a false transaction, split a prohibited transaction to evade controls, abuse a chargeback process, or use payment functionality to facilitate unlawful or prohibited activity.

9. STORED OR TOKENIZED PAYMENT METHODS

9.1 Provider storage or tokenization. A Payment Provider may tokenize or store a Payment Method where authorized so that it can be used for permitted future or recurring charges.

9.2 No representation about full credentials. These Payment Terms do not represent which party stores full payment credentials, which technical tokenization method is used, or that Textority itself stores full card or bank credentials.

9.3 Managing a saved Payment Method. Where the Services provide the capability, a User may add, update, or remove a saved Payment Method. Removing a saved Payment Method does not by itself cancel an obligation already incurred and does not necessarily cancel a subscription.

9.4 Recurring charges. A stored Payment Method may be used for recurring charges only within the scope of a valid recurring authorization and applicable law.

10. CHECKOUT AND PRE-CHARGE DISCLOSURES

10.1 Material transaction information. Before a User authorizes a charge, the applicable flow will present or make reasonably available the material information relevant to that charge, as applicable, including the offering or plan, price, currency, Transaction Taxes, recurring terms, trial or promotional terms, cancellation information, refund terms, delivery or access terms, and applicable Transaction Terms.

10.2 Creator Offering roles. For a paid Creator Offering, the checkout or Transaction Terms should identify the Creator supplying the offering and any seller, merchant, or payment role that is material to the transaction and required to be disclosed.

10.3 Creator information. A Creator must provide accurate information reasonably required for checkout, tax, payment, receipt, consumer, and transaction disclosures. Textority may rely on that information unless Textority knows or reasonably should know it is inaccurate.

10.4 Version presented. The material terms presented or incorporated before authorization govern the transaction, subject to higher-priority terms and mandatory law. A completed transaction may not be retroactively repriced or materially altered merely by editing a listing, Creator Policy, or Pricing Information.

10.5 No hidden charges. A Textority Fee or other charge imposed by Textority must be disclosed before it applies. A Creator may not impose an undisclosed charge through the Services.

11. ORDER CONFIRMATIONS, RECEIPTS, DESCRIPTORS, AND RECORDS

11.1 Confirmation. Textority, the applicable seller, or a Payment Provider may issue or administer an order confirmation, receipt, invoice, or transaction record as required by the transaction structure, applicable terms, and law.

11.2 Content. A transaction record may include the transaction date, amount, currency, Transaction Taxes, offering or plan, Creator identity where applicable, recurring information where applicable, Payment Method description, transaction identifier, refund or adjustment information, and support information.

11.3 Statement descriptors. The statement descriptor visible to a payer may vary based on the Payment Provider, charge configuration, merchant or settlement account, issuer, Payment Method, and jurisdiction. It may identify Textority, a Creator, another permitted merchant identifier, or a combination permitted by the provider configuration. These Payment Terms do not promise a particular descriptor for every transaction.

11.4 Recognition. Users should review the applicable confirmation and account records so they can recognize charges. A Creator must not misrepresent which party or descriptor will appear on a statement.

11.5 Evidence. Textority may retain transaction records reasonably necessary to document disclosures, authorization, acceptance, payment status, refunds, disputes, and other transaction events, subject to applicable privacy and retention requirements.

12. TEXTORITY PLANS AND TEXTORITY CHARGES

12.1 Pricing. Current prices for Textority plans and other Textority charges are disclosed before purchase or before a charge becomes applicable. A plan name or feature description does not itself establish a price.

12.2 Billing frequency. A plan may be offered on a one-time, monthly, annual, or other disclosed billing basis. The applicable order or enrollment flow controls the billing frequency and amount.

12.3 Taxes. Transaction Taxes applicable to a Textority plan may be added to or included in the displayed price as disclosed and required by law.

12.4 Plan changes. Upgrades, downgrades, credits, proration, effective dates, and renewal treatment apply only as described in the applicable plan flow, Subscription and Auto-Renewal Terms, or other binding terms. These Payment Terms do not create an unstated proration formula, credit entitlement, grace period, or retry schedule.

12.5 Plan refunds. Refund rights for Textority plan charges are governed by the Refund and Cancellation Policy, applicable enrollment terms, and mandatory law. Cancellation is not automatically a refund of a prior authorized charge.

13. RECURRING CHARGES, TRIALS, AND CANCELLATION

13.1 Pre-enrollment disclosure. Before a User authorizes an automatically renewing plan or recurring Creator Offering, the applicable enrollment flow must disclose the material recurring terms, including the recurring amount or method for determining it, billing frequency, renewal timing or method for determining it, material trial or promotional terms, and how to cancel.

13.2 Express authorization. A recurring charge requires affirmative authorization. Silence, inactivity, or a hidden or misleading choice is not treated as authorization where affirmative consent is required.

13.3 Trials and promotions. A free or discounted trial converts to a paid charge only where the conversion, timing, recurring amount, and other material terms are disclosed before enrollment and validly authorized.

13.4 Cancellation. A User must have the cancellation method required by the applicable Subscription and Auto-Renewal Terms and mandatory law. Cancellation stops future recurring charges according to its effective date and does not automatically reverse a properly authorized prior charge.

13.5 Changes. A material recurring-price or recurring-term change is handled prospectively and is subject to any notice, renewed consent, or cancellation right required by applicable law or binding terms.

13.6 Detailed subscription mechanics. Renewal reminders, trial-conversion notices, cancellation effective dates, reauthorization, and other detailed recurring-charge rules are governed by the Subscription and Auto-Renewal Terms and applicable law.

14. CREATOR OFFERING PAYMENTS

14.1 Paid Creator Offerings. A paid Creator Offering may be processed only where Textority has enabled the applicable Creator, country, currency, category, Payment Method, and provider configuration.

14.2 Transaction roles. Section 5 governs transaction roles. These Payment Terms do not convert a Creator into or out of a seller role that the applicable Transaction Terms or law assigns to the Creator, and do not convert Textority into a merchant of record or contracting seller merely because Textority provides commerce technology.

14.3 Creator responsibility. The Creator remains responsible for the Creator Offering obligations allocated to the Creator under the Creator Terms, including accurate descriptions, lawful claims, fulfillment, delivery, performance, support, and cooperation with payment-related inquiries.

14.4 Transaction status. A payment attempt may be pending, require action, fail, be declined, succeed, be refunded, be reversed, or become disputed. Access or delivery should not be treated as finally paid merely because a transaction was initiated when the applicable Payment Method can later fail or reverse.

14.5 No unsupported funds routing. A Creator may not use Textority to collect or route payment for unrelated third-party sellers, operate an unauthorized payment-aggregation service, transmit money between unrelated persons, create stored value, or otherwise use the Services for a payment activity prohibited by the Prohibited Products and Services Policy.

15. TEXTORITY FEES AND PRICING INFORMATION

15.1 Disclosed fees only. Textority may charge a Textority Fee only as disclosed before that fee applies.

15.2 Fee types. Depending on the Services used, Textority Fees may include plan fees, platform fees, transaction-related fees, feature fees, payment-related fees, payout-related fees, or another fee clearly identified in Pricing Information or applicable terms.

15.3 Fee basis. A fee may be fixed, percentage-based, usage-based, tiered, or calculated by another method disclosed before it applies. These Payment Terms do not establish a universal percentage or fixed fee.

15.4 Prospective changes. Textority may change future pricing or fees prospectively subject to the Terms of Service, applicable subscription terms, notice requirements, and law. A pricing-page change alone does not retroactively reprice a completed transaction.

15.5 Creator representations. A Creator may not promise that the Creator will receive a particular percentage or guaranteed net amount unless that statement is accurate for the applicable transaction after all applicable fees, taxes, processing costs, refunds, disputes, and other adjustments.

16. PAYMENT PROCESSING COSTS AND THIRD-PARTY CHARGES

16.1 Provider charges. A Payment Provider or related financial participant may impose processing, payment-method, cross-border, currency-conversion, refund, dispute, payout, or other charges under its rules.

16.2 Allocation. Who bears a Payment Processing Cost depends on the provider configuration and the applicable Transaction Terms, Creator Terms, Pricing Information, and provider terms. These Payment Terms do not assign every provider cost to Textority or to the Creator.

16.3 Disclosure. A payment-related amount charged by Textority to a User must be disclosed before it applies. Provider charges imposed directly by a provider are governed by the provider’s applicable terms and disclosures.

16.4 Refunds. A third-party processing cost may or may not be returned when a transaction is refunded. The applicable provider rules and transaction allocation determine the result.

16.5 External bank or issuer charges. A bank, issuer, wallet provider, or other financial institution may impose charges that Textority does not control, including foreign-transaction, overdraft, financing, or account fees.

17. CREATOR PROCEEDS AND TRANSACTION ACCOUNTING

17.1 Transaction accounting. For a Creator Offering transaction, the Services may record the transaction amount and applicable fees, taxes, withholding, refunds, reversals, disputes, provider adjustments, and other amounts necessary to calculate the Creator Proceeds under the applicable transaction structure.

17.2 Permitted adjustments. A Creator’s transaction accounting may be adjusted for amounts properly allocated to the Creator under applicable terms or law, including disclosed Textority Fees, Payment Processing Costs, Transaction Taxes or withholding where applicable, refunds, reversals, Payment Disputes, dispute fees, currency conversion, payout costs, negative balances, provider corrections, or other properly disclosed obligations.

17.3 No double counting. The same fee, tax, withholding, refund, reversal, dispute, or adjustment may not be charged or deducted twice for the same purpose.

17.4 Reserves and holds. A reserve or hold is a temporary availability restriction and is not itself a fee or forfeiture. An amount subject to a reserve or hold may later be released or applied to a valid obligation as permitted by the applicable terms.

17.5 Displayed balances. A Creator Balance is an accounting record and is not necessarily settled, available, withdrawable, or payable. Detailed payout availability is governed by the Creator Payout Terms.

17.6 Corrections. Textority may correct documented accounting or system errors in accordance with Section 24 and applicable law.

18. PAYOUTS AND CREATOR BALANCES

18.1 Creator Payout Terms. Payout eligibility, payout methods, payout schedules, minimum thresholds, settlement, reserves, holds, failed payouts, returned payouts, negative balances, and final-payout procedures are governed principally by the Creator Payout Terms.

18.2 No payout schedule created here. These Payment Terms do not promise a particular payout day, bank-settlement period, minimum threshold, reserve percentage, or holding period.

18.3 Verification. Payouts may require identity, business, beneficial-ownership, bank-account, tax, sanctions, or other verification required by Textority, a Payment Provider, or applicable law.

18.4 Provider and bank delays. A payout may be delayed, rejected, returned, or restricted by a Payment Provider or financial institution. Initiation of a payout is not the same as receipt by the recipient’s bank or account.

19. TAXES, WITHHOLDING, AND TAX INFORMATION

19.1 Transaction Taxes. Transaction Taxes are handled according to the transaction structure and applicable law. Textority, a Creator, a Payment Provider, or another legally responsible party may be required to calculate, collect, report, or remit Transaction Taxes.

19.2 No universal tax role. These Payment Terms do not classify Textority as a marketplace facilitator, statutory seller, tax collector, withholding agent, or similar tax role for every transaction. A classification applies when its legal requirements are met.

19.3 Creator business taxes. A Creator is responsible for income, payroll, business, professional, and other taxes imposed directly on the Creator or Creator business unless applicable law provides otherwise.

19.4 Tax information. A User must provide accurate tax information and documentation reasonably required for payment processing, reporting, withholding, invoicing, or payout eligibility and must update material changes.

19.5 Withholding. Textority or a Payment Provider may withhold an amount from funds otherwise payable to a Creator where legally required or properly authorized by the applicable transaction structure. Withholding will be accounted for separately from buyer-facing Transaction Taxes where reasonably practicable.

19.6 Tax invoices and documents. The party legally responsible for an invoice, tax receipt, information return, or similar document remains responsible unless another party expressly undertakes that function under the applicable terms.

19.7 No tax advice. Textority does not provide tax advice and does not represent that a particular tax registration, nexus, marketplace-facilitator, invoicing, withholding, or reporting conclusion applies merely because a transaction uses the Services.

20. CURRENCIES AND CONVERSION

20.1 Transaction currency. The currency applicable to a charge is displayed before authorization.

20.2 Conversion. A Payment Provider, card network, issuer, bank, or other financial institution may perform currency conversion and may apply its own exchange rate or fee.

20.3 No rate guarantee. Textority does not guarantee an exchange rate, settlement rate, conversion timing, or amount received after a third party performs conversion.

20.4 Creator settlement or payout currency. A Creator’s transaction currency, balance currency, settlement currency, and payout currency may differ where supported. The Creator Payout Terms and applicable provider disclosures govern payout-currency mechanics.

21. FAILED, DECLINED, PENDING, AND REVERSED PAYMENTS

21.1 Possible outcomes. A payment may fail, be declined, remain pending, require authentication, be reversed, or otherwise not settle because of issuer decisions, insufficient funds, expired credentials, fraud screening, verification, sanctions, unsupported geography, category restrictions, technical failure, provider rules, or other payment conditions.

21.2 Retry. Textority or a Payment Provider may retry a failed charge where authorized and lawful. No retry schedule, number of retries, or grace period is promised by these Payment Terms.

21.3 Alternative Payment Method. A User may be asked to provide or select another supported Payment Method when a payment fails or is declined.

21.4 Access and service consequences. A failed or reversed payment may delay or suspend access, delivery, selling, or other paid functionality according to the applicable terms. A failed payment does not by itself create a completed purchase.

22. REFUNDS, CANCELLATIONS, AND REVERSALS

22.1 Applicable rules. Refund and cancellation rights depend on the Refund and Cancellation Policy, Transaction Terms, applicable Creator Policies, provider or network rules, and mandatory law.

22.2 Administration. Textority may issue, facilitate, administer, route, or record a refund or cancellation where Textority is authorized or required to do so by the applicable payment structure, law, Transaction Terms, provider rules, or Textority policies. Another transaction participant may administer a refund where the applicable structure assigns that function to that participant.

22.3 Creator responsibility. A Creator is responsible for refund or reversal amounts to the extent the applicable Creator Terms, Transaction Terms, provider terms, or law allocate those amounts to the Creator.

22.4 Textority responsibility. Textority remains responsible for refund or payment obligations legally or contractually allocated to Textority and does not transfer those obligations to a Creator merely by contract language.

22.5 Fee treatment. The treatment of Textority Fees and Payment Processing Costs when a refund occurs depends on the applicable fee terms and provider rules. A refund does not create an automatic promise that every fee or third-party cost will be returned.

22.6 Cancellation is distinct. Cancellation stops future charges according to the applicable effective date. Cancellation is not automatically a refund, chargeback, or reversal of an earlier authorized charge.

22.7 Buyer access. A buyer may contact Textority through the available support or legal routes and is not required to contact a Creator first before exercising a non-waivable consumer, fraud, payment, issuer, or regulatory right.

23. PAYMENT DISPUTES AND CHARGEBACKS

23.1 External process. A Payment Dispute may be opened and decided under the rules of an issuer, bank, Payment Provider, payment network, or other Payment Method participant. Textority does not control an independent issuer or network decision.

23.2 Textority administration. Where the applicable payment configuration permits or requires Textority to administer a Payment Dispute, Textority may receive notices, classify the matter, request and preserve evidence, submit evidence, accept or contest the dispute, record outcomes, and apply the resulting accounting treatment.

23.3 Creator cooperation. A Creator must provide accurate evidence reasonably requested in connection with a Payment Dispute involving the Creator Offering, including transaction, delivery, access, performance, communication, or policy records. A Creator must not fabricate, alter, conceal, or misrepresent dispute evidence.

23.4 Financial allocation. Disputed amounts, chargebacks, dispute fees, reversals, and related costs are allocated according to the actual transaction structure, applicable provider configuration, Creator Terms, Transaction Terms, and law. These Payment Terms do not impose a universal allocation inconsistent with the payment configuration.

23.5 No guaranteed contest or outcome. Textority does not guarantee that a Payment Dispute will be contested, that evidence will be accepted, or that any party will prevail.

23.6 External rights preserved. Using a Textority support or refund process does not waive an External Payment Right available through a card issuer, bank, Payment Provider, payment network, or applicable law.

24. UNAUTHORIZED CHARGES, FRAUD, AND PAYMENT ERRORS

24.1 Reporting. A User may report an unauthorized charge, duplicate charge, incorrect amount, suspected account takeover, Payment Method misuse, failed refund, incorrect fee, or other payment problem through the support or reporting routes Textority makes available.

24.2 Immediate security action. Textority may restrict an account, Payment Method, transaction, selling feature, or payout when reasonably necessary to investigate suspected fraud, account compromise, unauthorized activity, or payment abuse.

24.3 Contacting a financial institution. A User should contact the applicable card issuer, bank, wallet provider, or other financial institution where appropriate. Textority’s internal process does not replace a statutory or contractual error-resolution or unauthorized-transaction process administered by that institution.

24.4 Error correction. Textority may correct a documented Textority billing, fee, transaction-record, refund, or balance error, including by applying an appropriate credit, debit, or accounting adjustment, subject to applicable law and any required authorization.

24.5 Textority-caused costs. Textority will not knowingly shift to a Creator a payment cost caused solely by Textority’s own error where the applicable terms or law make Textority responsible for that cost.

24.6 Erroneous credits. Where permitted by law, Textority may recover an obvious duplicate credit, erroneous refund, or other amount credited in error. Recovery must use a legally and contractually permitted method.

24.7 No shortened statutory period. A request that Users report payment problems promptly does not shorten a longer statutory, issuer, provider, or network deadline that applies to the User.

25. NEGATIVE BALANCES, OFFSETS, AND RECOVERY

25.1 Negative balances. A Creator or other User may incur a negative balance where properly allocated refunds, reversals, Payment Disputes, provider charges, fees, taxes, withholding, corrections, or other valid payment obligations exceed amounts otherwise payable to that User.

25.2 Offsets. Where permitted by the applicable terms and law, an amount validly owed may be offset against amounts otherwise payable to the same User.

25.3 Separate debit authorization. A bank account, card, payout account, or other Payment Method may be debited to recover a negative balance only where the debit is separately authorized as required, permitted by applicable law, and supported by the applicable Payment Provider.

25.4 No blanket debit authority. These Payment Terms do not create a blanket authorization to debit any account or Payment Method for every alleged obligation.

25.5 Collection. A valid unpaid amount may be pursued through lawful collection methods consistent with the applicable terms and law. Textority may recover reasonable collection costs only where legally and contractually recoverable.

26. RESERVES, HOLDS, AND DELAYED AVAILABILITY

26.1 Permitted controls. Textority or a Payment Provider may impose a reasonable reserve, hold, delayed-availability period, or other payment-risk control where authorized by applicable terms and reasonably related to settlement, fraud, refunds, Payment Disputes, verification, provider requirements, sanctions, legal obligations, or comparable payment risk.

26.2 Not a fee. A reserve or hold is not itself a fee, penalty, forfeiture, or final deduction merely because it restricts availability.

26.3 Application and release. A reserved or held amount may be released when the applicable condition ends or may be applied to a valid obligation as permitted by the Creator Payout Terms, provider terms, and law.

26.4 Detailed payout controls. Reserve sizing, duration, release mechanics, payout effects, and similar operational details are governed principally by the Creator Payout Terms and applicable provider terms.

27. TEEN USERS AND GUARDIAN PAYMENTS

27.1 Guardian authorization. A purchase or recurring enrollment connected to a Teen User requires the parent or legal guardian authorization required by the Terms of Service and applicable law.

27.2 Payer and financial responsibility. The applicable checkout and Transaction Terms identify the payer and party financially responsible for the charge. A Teen User may not independently assume an adult-only Creator, selling, payout, or payment-administration role.

27.3 Recurring charges. A guardian authorization for a recurring enrollment covers only recurring charges properly disclosed within the authorized enrollment and remains subject to cancellation, material-change, reauthorization, and other requirements under applicable law and the Subscription and Auto-Renewal Terms.

27.4 Verification. Textority may require reasonable evidence of age, identity, guardianship, or authorization and may restrict a transaction or account while that evidence is reviewed.

28. PROFESSIONAL AND RESTRICTED CREATOR OFFERINGS

28.1 Payment does not legalize an offering. Successful payment processing does not mean a Creator Offering is lawful, licensed, approved, or permitted under the Prohibited Products and Services Policy.

28.2 Professional relationships. A payment for a permitted professional Creator Service does not make Textority a party to a professional relationship between the Creator and End User merely because Textority provides or administers payment functionality.

28.3 Restricted categories. A Restricted Creator Offering may require prior Textority approval, Payment Provider approval, enhanced verification, payment controls, reserves, jurisdiction limits, or other conditions before payment functionality is enabled.

28.4 Unsupported fundraising and financial activity. Donations, fundraising, tipping, money transmission, stored value, payment facilitation, third-party seller aggregation, and other financial activities may be prohibited or restricted as stated in the Prohibited Products and Services Policy. These Payment Terms do not enable them.

29. COLOMBIA PAYMENT AND CONSUMER RIGHTS

29.1 Availability. Payment functionality in Colombia is available only through payment configurations, Payment Methods, currencies, and providers that Textority has actually enabled.

29.2 Provider model matters. A Colombian Payment Provider may offer different merchant, gateway, aggregation, collection, settlement, or payout models. The applicable provider agreement and Transaction Terms determine which party is onboarded as the merchant or other provider-defined participant and how funds are processed.

29.3 Colombian consumer law. Where Colombian consumer law applies, mandatory e-commerce, payment-reversal, recurring-payment, refund, information, and complaint rights remain available to the consumer. These Payment Terms do not restrict statutory reversal or cancellation rights or shorten a statutory deadline.

29.4 Reversal cooperation. Textority may request information reasonably necessary to identify a transaction, route a statutory payment-reversal request, preserve evidence, or coordinate with the applicable provider or payment participant. A User is not required to waive a mandatory right as a condition of submitting a request.

29.5 Creator obligations. A Creator must provide accurate seller, offering, contact, pricing, delivery, cancellation, refund, tax, and other information required for a Colombian transaction to the extent Colombian law assigns that obligation to the Creator.

29.6 Transaction-specific responsibilities. Textority will perform a Colombian payment, receipt, tax, consumer, or reversal function only to the extent Textority is legally responsible for that function or expressly undertakes it in the applicable Transaction Terms or provider configuration.

30. UNITED STATES PAYMENT AND RECURRING-CHARGE RIGHTS

30.1 Recurring charges. For an online negative-option or automatically renewing transaction subject to applicable U.S. law, the material recurring terms must be disclosed before billing information is obtained or the charge is authorized as required by law, express informed consent must be obtained where required, and a legally sufficient method to stop future recurring charges must be provided.

30.2 Issuer and financial-institution rights. A consumer may have separate billing-error, unauthorized-transaction, card, bank-account, or electronic-fund-transfer rights against the applicable issuer or financial institution. Textority is not the consumer’s card issuer or account-holding financial institution merely because Textority participates in the transaction.

30.3 No substitution for financial-institution duties. These Payment Terms do not assume or replace a statutory error-resolution, provisional-credit, billing-error, or unauthorized-transfer duty that applicable law assigns to a card issuer, creditor, bank, or other financial institution.

30.4 Internal processes are additional. Textority may provide support, refund, fraud, or error-review processes in addition to any external payment right. Using an internal process does not waive an external right.

A User must:

(a) provide accurate payment, billing, tax, identity, business, and verification information when required;

(b) use only Payment Methods the User is authorized to use;

(c) protect account credentials and promptly report suspected unauthorized access;

(d) comply with the Prohibited Products and Services Policy and applicable Payment Provider requirements;

(e) not engage in fraud, transaction laundering, chargeback abuse, sanctions evasion, or false payment descriptions;

(f) not disguise prohibited activity as a permitted Creator Offering;

(g) not use the Services as an unauthorized payment facilitator, money transmitter, escrow service, stored-value product, or third-party seller aggregator; and

(h) cooperate reasonably with payment, verification, refund, dispute, tax, and compliance reviews that are within the scope permitted by the applicable terms and law.

32. DECLINING, RESTRICTING, OR SUSPENDING PAYMENT ACTIVITY

32.1 Available actions. Textority may decline a payment, disable or restrict checkout, require verification, restrict a Payment Method, delay transaction availability, suspend Creator selling, delay payouts, impose an authorized reserve or hold, issue or facilitate a refund or reversal, or suspend payment-related access where reasonably necessary and permitted by the applicable terms.

32.2 Grounds. Grounds may include fraud, account compromise, sanctions, prohibited activity, verification failure, provider or network requirements, high Payment Dispute risk, illegal activity, material misdescription, safety risk, technical failure, or a legal requirement.

32.3 Proportionality. Where circumstances permit, Textority may consider severity, recurrence, intent, harm, payment risk, legal obligations, provider requirements, cooperation, and ability to remedy when selecting an action.

32.4 Urgent action. Advance notice is not guaranteed where immediate action is reasonably necessary for fraud prevention, sanctions, account security, legal compliance, provider requirements, child safety, or another material risk.

32.5 No transfer of liability. Restricting a Creator Team Member’s payment access does not by itself make that individual responsible for the Creator’s commercial obligations.

33. NO BANK, ESCROW, CUSTODY, OR STORED-VALUE ACCOUNT

33.1 No deposit account. A balance displayed in the Services is not a bank deposit account and does not by itself earn interest or create deposit insurance.

33.2 No escrow or trust promise. Unless Textority expressly offers a separately approved product under separate terms, the Services are not offered as escrow, custody, client trust, fiduciary funds, or stored-value services.

33.3 No money-transmission representation. These Payment Terms do not state that Textority is or is not a money transmitter, payment facilitator, agent of payee, or other regulated payment entity under any particular law. Any such classification depends on the actual payment architecture and applicable law.

33.4 Prohibited Creator use. A Creator may not use the Services to perform a payment activity prohibited by the Prohibited Products and Services Policy, including collecting or settling funds for unrelated third-party sellers without an expressly approved program.

34. PAYMENT DATA, PRIVACY, AND SECURITY

34.1 Privacy. Payment-related personal information is handled in accordance with the applicable Privacy Policy, privacy notices, provider terms, and law.

34.2 Provider processing. Payment Providers may independently collect, use, verify, retain, and disclose payment-related information under their own terms and privacy notices.

34.3 Security accuracy. Textority does not represent in these Payment Terms that it stores full payment credentials, maintains a particular payment-industry certification, uses a specific authentication protocol, or provides a particular encryption architecture unless that statement is separately verified and expressly made applicable.

34.4 Fraud and compliance data. Textority may use and share transaction, risk, verification, fraud, dispute, and related payment information with Payment Providers and other authorized parties where reasonably necessary for payment processing, fraud prevention, compliance, disputes, or legal obligations, subject to applicable privacy law.

35. CHANGES AND VERSIONING

35.1 Changes. Textority may update these Payment Terms prospectively in accordance with the Terms of Service.

35.2 Material changes. Material changes receive the notice or affirmative acceptance required by the Terms of Service or applicable law.

35.3 Completed transactions. A change to these Payment Terms does not retroactively reprice or materially alter a completed transaction except where applicable law or a binding transaction term permits the change.

35.4 Provider or legal changes. Textority may make a change effective on a shorter timeline where reasonably necessary to comply with law, sanctions, Payment Provider requirements, payment-network rules, fraud prevention, or security obligations, subject to any mandatory notice requirement.

36. DISPUTE RESOLUTION

36.1 Operational payment disputes. Payment Provider, issuer, bank, and payment-network procedures govern Payment Disputes within their scope.

36.2 Legal disputes. Section 29 of the Terms of Service governs legal disputes between a User and Textority, including the arbitration agreement, class action waiver, jury trial waiver, arbitration opt-out, and applicable exceptions.

36.3 External payment rights. Nothing in the Textority dispute-resolution provisions eliminates a non-waivable right to use an issuer, financial-institution, payment-network, regulatory, or statutory payment process.
